Under this contract concluded between the two parties whose complete details are provided in the attached contracting form, referred to herein as "the First Party" (the owner/project owner) and "the Second Party" (the business manager), collectively referred to as "the Parties". In accordance with the provisions of the Egyptian Civil Code No. 131 of 1948 (Articles 701-713 concerning agency), the Commercial Law No. 17 of 1999, the Personal Data Protection Law No. 151 of 2020, the Intellectual Property Rights Protection Law No. 82 of 2002, and the labor and tax laws and regulations in force in the Arab Republic of Egypt, this Agreement aims to organize the business management relationship between the First Party (the owner/project owner) and the Second Party (the business manager), whereby the owner appoints the business manager to manage and operate his project or business activity for an agreed-upon fee, granting the manager the necessary authority for management within the limits specified in this Agreement, while retaining ownership of the project and assets by the owner, defining the rights and obligations of each party, and establishing the mechanisms for control and supervision, as well as the terms for indemnity and penalties, in accordance with the provisions of the Egyptian Civil Code regulating the agency contract, which obligates the agent to perform the assigned task with due diligence, ensuring the protection of the principal's rights, and regulating the limits of the agent's liability. The parties have agreed as follows:

Article (1) Definitions of the Contract

1- The terms and phrases listed below - wherever they appear in this contract - shall have the meanings specified next to each of them, unless the context requires an alternative meaning:

2- The Contract: It refers to this Business Management Agreement in all its clauses and annexes, and its introduction is considered an integral part thereof.

3- The Owner: The first party in this contract, who is the owner of the project or business activity, or legally authorized to assign its management to others.

4- The Business Manager: The second party in this contract, who is the natural or legal person specialized in business management, and who manages the project on behalf of the owner and by their order.

5- The Project: The commercial, investment, or service activity owned by the owner and assigned to the Business Manager for management, as specified in Article (2) of this contract.

6- Management Duties: The set of tasks, authorities, and activities delegated by the owner to the Business Manager for managing the project, as defined in Article (2) of this contract.

7- Management Duration: The period of time during which the Business Manager is entrusted with managing the project, as specified in Article (3) of this contract.

8- Management Fee: The financial amount owed to the Business Manager for managing the project, as specified in Article (5) of this contract.
