This contract is made between the two parties whose complete data are indicated in the attached contracting form, referred to herein as "the first party" (the producer / owner of the film rights) and "the second party" (the film distributor), collectively referred to as "the parties." In accordance with the provisions of the Egyptian Civil Law No. 131 of 1948, the Intellectual Property Protection Law No. 82 of 2002 (particularly Articles 138-178 concerning copyright and neighboring rights), the Commercial Law No. 17 of 1999, the Personal Data Protection Law No. 151 of 2020, the Press and Media Regulation Law No. 180 of 2018, and the applicable laws and regulations in the Arab Republic of Egypt, this agreement aims to regulate the film distribution relationship between the first party (the producer / owner of the film rights) and the second party (the film distributor), whereby the producer grants the distributor the rights to distribute the film in local and international markets (cinema halls, television, OTT digital platforms, and home videos), in return for a share of the revenues (percentage) or a fixed amount, specifying the scope of distribution (geographically and temporally), exclusive and non-exclusive distribution rights, the distributor's obligations to market and promote the film, provide periodic financial reports, protect intellectual property rights, and terms of compensation and penalties, all within a framework of transparency and adherence to the highest standards of the film distribution industry and the regulations governing it in the Arab Republic of Egypt. The parties have agreed to the following:

Article (1) Definitions of the Contract
1- The words and phrases set forth below - whenever mentioned in this Agreement - shall have the meanings outlined next to each, unless the context dictates otherwise:
2- Contract: Refers to this Cinematic Distribution Agreement with all its terms and appendices, and its preamble shall be considered an integral part thereof.
3- Producer: The first party to this contract, which is the natural or legal person (production company) that holds the rights to the film and grants the distributor the license.
4- Distributor: The second party to this contract, which is the natural or legal person (film distribution company) that obtains the distribution rights of the film, and assumes responsibility for its marketing, promotion, and distribution to theaters, platforms, and various channels.
5- Film: The cinematic work subject to distribution, detailed in Appendix (1) of this contract.
6- Distribution Rights: The rights granted to the distributor to distribute the film in the specified markets (theaters, television, digital platforms, home videos).
7- Theaters: The halls and venues that display films to the public.
8- Digital Platforms (OTT): Online streaming platforms (Netflix, Amazon Prime, Shahid, Watch It, and others).
9- Home Videos: DVD, Blu-ray discs, and digital downloads.
10- Gross Revenues: The total financial amounts generated by the distributor from the distribution of the film (cinema tickets, broadcasting rights, digital platform rights, home video sales, and others).
11- Net Revenues: The total revenues minus direct costs (marketing, promotion, printing, technical distribution costs, taxes, platform commissions, and any other agreed costs).
12- Participation Percentage: The percentage of net revenues due to the producer from the distributor, as specified in Article (4) of this contract.
13- Distribution Period: The timeframe during which the license is granted to the distributor, as defined in Article (3) of this contract.
14- Geographic Scope: The geographic area where the distributor is allowed to distribute the film (Egypt, the Arab world, the world, or specific areas), as specified in Appendix (2) of this contract.
15- Exclusivity: The exclusive right of the distributor to distribute the film in a specific geographic area, such that the producer may not grant licenses to other parties in the same area during the distribution period.
16- Minimum Guarantee: The financial amount that the distributor guarantees to the producer, regardless of actual revenues.
17- Related Parties: Includes affiliated companies, parent companies, sister companies, as well as directors, employees, contractors, consultants, agents, and representatives.
