Under this contract, the parent company, whose full details are outlined in the attached contracting form, acknowledges its legal capacity to establish the branch in accordance with the following terms and conditions and in compliance with the applicable law:

Article (1) Preamble and Definitions

1- This preamble and the attached annexes represent an integral part of this contract and complement its provisions, and shall be read together as a single cohesive document.

2- "This contract" refers to this agreement and its annexes along with any written amendments; "the parent company" refers to the parties specified in the attached contracting template, and "the parent company" may refer to any of them; "the branch" refers to the subject of cooperation described in this agreement; and "the applicable law" refers to the governing laws and regulations.

3- The titles of the articles are provided for ease of reference only and shall not be considered in interpretation; in cases of ambiguity, reference shall be made to the common intent of the parent company, the nature of the transaction, and the requirements of good faith.

4- The provisions of this contract shall be interpreted comprehensively in a manner that achieves their purpose and does not conflict with the applicable law.

Article (2) Eligibility of the Parent Company and Their Attributes

1- Each parent company acknowledges that it has the full legal capacity and authority to enter into this contract and to fulfill the obligations arising therefrom, and that the person signing on its behalf is duly authorized to do so.

2- Each parent company acknowledges that entering into this contract and its execution does not violate any law, license, or contractual obligation related to it, and that the information and documents it has provided are accurate and complete.

3- Each parent company is obliged to obtain the necessary licenses and approvals to fulfill its obligations and to maintain their validity for the duration of this contract.

Article (3) Subject of the Contract and Establishment of the Branch

1- Under this contract, the parent company establishes a branch to conduct its activities within the local jurisdiction, and the branch shall be subject to the provisions of this contract and the applicable law.

2- The branch does not enjoy an independent legal personality from the parent company, and it is considered an extension of the parent company in conducting the activity.
