Whereas the parties have full legal capacity to contract and dispose, and no restrictions have been placed upon such capacity, according to their information stated in the accompanying contracting form; and desiring to organize their relationship and define each party's rights and obligations, as well as manage their joint activity and distribute its profits and losses; they have agreed to establish a partnership between them in accordance with the provisions of this contract, and in compliance with the Egyptian Civil Law No. 131 of 1948 and the Commercial Law No. 17 of 1999, along with their complementary laws in force in the Arab Republic of Egypt, as follows:

Article (1) Definitions

1- The terms and expressions below—wherever used in this contract—shall have the meanings ascribed to each, unless the context necessitates another meaning.

2- The contract: this agreement with all its terms, annexes, and schedules, and its preamble shall be considered an integral part thereof.

3- The partnership: the commercial project or the joint economic activity established under this contract.

4- Capital: the total amount that the partners are obligated to contribute in terms of money, assets, rights, expertise, or effort as detailed in this contract and its annexes.

5- Profits: the net financial yield resulting from the partnership's activities after deducting expenses, obligations, taxes, and reserves.

6- Losses: the reduction in the partnership's capital resulting from the operation of the activity or for any other reason.

7- The fiscal year: the period defined for accounting the results of the partnership's operations, commencing on ‎ ‎ and ending on ‎ ‎ of each year.

Article (2) Purpose of the Partnership and its Scope

1- The partners have agreed to establish a partnership to engage in the following activity: ‎ ‎, and it may carry out all acts and transactions related or supplementary to it as long as they are lawful.

2- The partnership's activity is limited to the mentioned purpose, and no partner may use its assets, name, or reputation for any activity outside this purpose without prior written consent from the other partners.

3- The geographical scope of the partnership's work is: ‎ ‎, and it may not be expanded except by written agreement between the partners.
