By virtue of this contract, the parent company, whose complete details are outlined in the attached contracting form, and after acknowledging its legal capacity, agrees to establish a representative office in accordance with the following terms and conditions and in compliance with the applicable law:

Article (1) Preamble and Definitions

1- This preamble and the attached appendices constitute an integral part of this contract and complement its provisions, and shall be read together as a single comprehensive document.

2- "This contract" refers to this agreement and its appendices and any written amendments thereto; "the parent company" refers to its parties as indicated in the attached contracting form, and "the parent company" is any of them; "the representative office" refers to the cooperation subject matter indicated in this agreement; and "the law applicable" refers to the governing laws and regulations.

3- The headings of the articles are provided solely for convenience of reference and shall not be considered in interpretation; in the event of ambiguity, recourse shall be had to the common intent of the parent company, the nature of the transaction, and the requirements of good faith.

4- The provisions of this contract shall be interpreted comprehensively in a manner that achieves their purpose and does not conflict with the applicable law.

Article (2) The Parent Company's Capacity and Qualities

1- The parent company acknowledges its full legal capacity and competence to enter into this contract and fulfill the obligations arising therefrom, and that the person signing on its behalf is duly authorized with a valid authorization.

2- The parent company acknowledges that entering into this contract and executing it does not violate any law, license, or contractual obligation associated with it, and affirms the accuracy and completeness of the data and documents submitted.

3- The parent company undertakes to obtain any necessary licenses and approvals to fulfill its obligations and to maintain their validity throughout the duration of this contract.

Article (3) Subject of the Contract and Establishment of the Representative Office

1- Under this contract, the parent company establishes a representative office for non-commercial purposes, which is subject to the provisions of this contract and the applicable law.

2- The office shall not have an independent legal personality and shall be considered an extension of the parent company.
