Under this contract concluded between the two parties whose full details are provided in the attached contracting form, they shall be referred to herein as "the First Party" (the company / the repurchasing entity) and "the Second Party" (the shareholder / the seller of the shares), collectively referred to as "the Parties." By virtue of this agreement, and after the approval of the company’s Board of Directors (and the Extraordinary General Assembly according to the type of company and its articles of association) to repurchase a number of its shares from the shareholders wishing to sell, the First Party (the company / the repurchasing entity) undertakes to purchase and redeem the shares specified in this agreement from the Second Party (the shareholder / the seller of the shares), and the shareholder undertakes to sell and transfer ownership of these shares to the company for a cash price determined according to the agreed-upon valuation mechanism; this agreement aims to organize the share repurchase process with the highest levels of transparency and legal accuracy while defining the purpose of the repurchase, the fair valuation mechanism, the terms of sale, the closing date, payment mechanisms, obligations of the parties, breach scenarios, and termination provisions, in a manner that serves the interests of the company and the shareholders and enhances the stability of the ownership structure and the value of the share. The parties have agreed to the following:

1- The words and phrases listed below - wherever mentioned in this Agreement - shall have the meanings specified next to each, unless the context of the text requires a different meaning:

2- The Agreement: This share buyback agreement with all its terms and appendices, its introduction shall be considered an integral part thereof, and it is the primary reference in case of conflict between its texts and the texts of the appendices or the company's bylaws to the extent that it does not conflict with the law.

3- The Company (Buyback Entity): The first party, which is the company that repurchases its shares from the shareholders, as defined in Appendix (1).

4- The Shareholder (Seller of the Shares): The second party, who is the legal owner of the shares subject to repurchase, defined in Appendix (2), who sells his shares to the company under this Agreement.

5- Shares Subject to Repurchase: The number of shares or stakes that the company is repurchasing from the shareholder under this Agreement, defined in Article (2).

6- Treasury Shares: The shares that the company repurchases and retains in its treasury and are not considered outstanding shares, and may be held for a period not exceeding one year from the date of execution, otherwise capital must be reduced by their value according to the decisions of the General Authority for Financial Supervision.

7- Purpose of the Buyback: The objective of the company to repurchase its shares as specified in

Article (2) includes the distribution of shares to employees, capital reduction, support for the share price, or any other purpose approved by the Board of Directors and the General Assembly.
