By virtue of this contract made between the two parties whose full data is specified in the attached contracting form, referred to herein as “the First Party” (the licensor / owner of the mark) and “the Second Party” (the licensee / beneficiary of the license), collectively referred to as “the Parties”. In accordance with the provisions of the Egyptian Civil Law No. 131 of 1948, the Intellectual Property Rights Protection Law No. 82 of 2002 (Articles 55-62 concerning trademarks), the Trademark Law No. 45 of 2002, the Commercial Law No. 17 of 1999, the Personal Data Protection Law No. 151 of 2020, and the applicable laws and regulations in the Arab Republic of Egypt, this agreement aims to regulate the license for the use of the trademark or trade name (referred to as “the Mark”) between the First Party (the licensor / owner of the mark) and the Second Party (the licensee / beneficiary of the license), whereby the licensor grants the licensee a license to use the Mark in its commercial activities, in accordance with the terms and conditions specified in this agreement, while retaining ownership of the Mark by the licensor, defining the scope of use, adhering to quality standards, rights of oversight, and mechanisms for compensation and penalties in case of breach of obligations, all in accordance with the provisions of the Egyptian Intellectual Property Rights Protection Law that regulates trademark licenses and protects the rights of owners and users, and the parties have agreed to the following:

Article (1) Definitions of the Contract

1- The terms and phrases set forth below - wherever they appear in this agreement - shall have the meanings indicated next to each, unless the context requires another meaning:

2- The Contract: refers to this licensing agreement for the use of the name, in all its terms and appendices, and its preamble constitutes an integral part thereof.

3- The Licensor: the first party to this contract, who is the owner of the trademark or trade name, or who is legally authorized to grant the license for its use to others.

4- The Licensee: the second party to this contract, who is the natural or legal person that obtains the license to use the trademark from the Licensor.

5- The Trademark: the trademark or trade name or logo or symbol or icon subject to the license, as defined in Article (2) of this contract.

6- The Products/Services: the products or services provided by the Licensee using the trademark, as specified in Article (2) of this contract.

7- The Scope of License: the geographical area and the commercial field in which the Licensee is permitted to use the trademark, as specified in Article (3) of this contract.

8- The Duration of License: the period during which the license is granted, as specified in Article (4) of this contract.

9- The Licensing Fees: the amount of money that the Licensee is obligated to pay to the Licensor in return for the license, as specified in Article (6) of this contract.
