Pursuant to this contract concluded between the solidary partners whose complete data is indicated in the attached contracting form, and after each of them has acknowledged their full legal capacity to contract and commit, and in their desire to organize their relationship based on clarity and balance, they have agreed to establish a solidarity company among them according to the following terms and conditions, and in a manner that does not contravene the applicable law:

Article (1) Preamble and Definitions

1- The term "Company" refers to the entity established under this contract; and the term "Partners" refers to the partners holding shares in its capital; and the term "Partners' Meeting" refers to the body making collective decisions in the company; and the term "Management" refers to those who manage the company according to this contract; and the term "Applicable Law" refers to the laws and regulations governing companies and business activities.

2- The term "Distributable Net Profits" refers to the profits remaining after deducting expenses, depreciations, provisions, and setting aside the prescribed reserves; and the term "Special Majority" refers to the enhanced percentage required by this contract or law for certain decisions.

3- The above preamble and the attached appendices form an integral part of this contract and complement its provisions, and shall be read together as a single cohesive document.

4- The titles of the articles have been placed for ease of reference only, and shall not be considered in the interpretation of the provisions or in determining their scope, and in case of ambiguity, recourse shall be had to the intent of the parties and the nature of the activity and the requirements of good faith.

Article (2) Capacity of the Contracting Parties and Validity of the Establishment

1- The partners shall acknowledge that they possess the full legal capacity necessary for contracting, establishing the company, and complying with the provisions of this contract, and that there are no legal impediments preventing them from doing so.

2- The partners shall acknowledge that all data and documents submitted by them for the purposes of establishment are correct and complete, and they shall bear the responsibility for their accuracy and for any damage arising from their violation.

3- The establishment of the company shall be deemed valid and enforceable upon fulfilling the substantive and formal conditions prescribed by law, including the drafting of the contract, its registration, and its publication in the commercial registry.

4- The invalidity of one of the partners' positions shall not result in the invalidity of the company against a third party acting in good faith, and this shall be addressed according to the applicable law.
