This contract is made between the two parties whose complete details are provided in the attached contracting form, referred to herein as "the first party" (Artistic Business Manager / Agent) and "the second party" (Artist / Talent), collectively referred to as "the parties." In accordance with the provisions of the Egyptian Civil Law No. 131 of 1948, the Commercial Law No. 17 of 1999, the Intellectual Property Rights Protection Law No. 82 of 2002 (specifically Articles 138-178 regarding copyright and related rights), the Personal Data Protection Law No. 151 of 2020, and the labor laws and regulations in force in the Arab Republic of Egypt, this agreement aims to organize the artistic management relationship between the first party (Artistic Business Manager / Agent) and the second party (Artist / Talent), where the artist entrusts the manager with the task of managing their artistic and professional career, including negotiating contracts, scheduling performances and appearances, planning the professional path, managing public and media relations, and marketing and promotion, in exchange for a percentage of the artist's total profits (management commission), while defining the scope of the manager's authority, the artist's obligations, intellectual property rights, exclusivity and non-competition terms, contract termination mechanisms, compensation and penalties, all within a framework of transparency and adherence to the highest standards of the artistic industry and the governing laws in the Arab Republic of Egypt. The parties have agreed to the following:

Article (1) Definitions of the Contract
1- The words and phrases listed below - wherever they appear in this Agreement - shall have the meanings specified next to each of them, unless the context of the text indicates otherwise:
2- The Contract: Refers to this Artist and Talent Management Agreement in its entirety, including its terms and annexes, and its preamble shall be considered an integral part thereof.
3- The Business Manager / Agent: The first party to this Contract, being the natural or legal person (a talent management company) who manages and directs the artistic and professional path of the artist, negotiates on their behalf, and represents them in commercial and media relations.
4- The Artist / Talent: The second party to this Contract, being the natural person (actor, singer, musician, dancer, performer, athlete, or any other person with artistic or athletic talent) who entrusts the manager with the task of managing their professional path.
5- Artistic Works: All activities, appearances, and works performed by the artist, including concerts, recordings, films, series, advertisements, television shows, media interviews, signings, public appearances, and any other activities that fall under the artistic path of the artist.
6- Gross Revenues: All monetary amounts received by the artist from all artistic works (before deducting any expenses, costs, or taxes).
7- Royalties: Periodic financial amounts received by the artist from the exploitation of their artistic works (such as performance rights, broadcasting rights, distribution rights, and others).
8- Management Fee: The percentage of the gross revenues that the business manager is entitled to receive as compensation for their management services, as specified in Article (4) of this Contract.
9- Expenses: All costs incurred by the manager or the artist in executing the artistic works (such as travel, accommodation, equipment, costumes, makeup, publicity, legal fees, and others), which shall be agreed upon regarding their allocation between the two parties.
10- Exclusivity: The artist's commitment to work exclusively with the aforementioned business manager in this Contract and not to contract with any other manager, negotiate, or conclude contracts without the mediation of the manager.
11- Contract Period: The duration during which the manager is obliged to provide services to the artist, as specified in Article (3) of this Contract.
12- Related Parties: Includes subsidiaries, parent companies, sister companies, as well as directors, employees, contractors, consultants, agents, and representatives.

Article (2) Subject of the Contract and Scope of Management Services

2- The business manager shall provide the artist with the following administrative services, detailed in Appendix (1) of this contract:
3- Strategic planning for the artistic career: Developing and implementing a comprehensive strategy for the artist's professional path, including setting artistic and commercial goals, selecting appropriate projects, identifying the target audience, and determining the necessary steps to achieve success.
4- Negotiating contracts: Negotiating on behalf of the artist all contracts related to artistic works (concerts, recordings, films, advertisements, appearances, sponsorships), ensuring that the artist receives the best financial and legal terms.
5- Scheduling: Organizing and scheduling the artist’s artistic activities (concerts, tours, recordings, interviews, appearances), ensuring no conflicting appointments, and achieving a balance between work and rest.
