This contract is made between the two parties whose full details are specified in the attached contracting form, herein referred to as "the First Party" and "the Second Party," collectively referred to as "the Parties." In accordance with the provisions of the Egyptian Civil Law No. 131 of 1948 (Articles 410-426 concerning the contract of barter), Commercial Law No. 17 of 1999, Consumer Protection Law No. 181 of 2018, Personal Data Protection Law No. 151 of 2020, Intellectual Property Rights Protection Law No. 82 of 2002, and the applicable laws and regulations in the Arab Republic of Egypt, this contract aims to organize the barter relationship between the Parties, whereby each Party commits to providing specific goods, services, or assets to the other Party in exchange for receiving goods, services, or assets from the other Party, without any monetary exchange between them, with an estimated value assigned to each good/service/asset to determine equilibrium in the barter, and specifying the terms of delivery, guarantees, liability, conditions for compensation and penalties, and rights of rescission and termination, all within a framework of transparency and adherence to the provisions of the Egyptian Civil Law that govern the barter contract and make it binding on both Parties, ensuring the protection of each Party's rights, and regulating the aspects of exchange and compensation in the event of breach of obligations. The Parties have agreed to the following:

Article (1) Contract Definitions
1- The words and phrases listed below - wherever they appear in this contract - shall have the meanings specified alongside each of them, unless the context of the text indicates otherwise:
2- The Contract: Refers to this exchange agreement in its entirety including all its terms and appendices, with its preamble considered an integral part thereof.
3- The First Party: One of the parties to the exchange, which is the natural or legal person that offers goods/services/assets to the Second Party, and in return receives goods/services/assets from the Second Party.
4- The Second Party: The other party in the exchange, which is the natural or legal person that offers goods/services/assets to the First Party, and in return receives goods/services/assets from the First Party.
5- Goods of the First Party: The goods or products that the First Party is obliged to provide to the Second Party, as specified in Appendix (1) of this contract.
6- Goods of the Second Party: The goods or products that the Second Party is obliged to provide to the First Party, as specified in Appendix (2) of this contract.
7- Estimated Value: The approximate financial value of each good/service/asset being exchanged, which is agreed upon to determine the balance of the exchange and for tax and accounting purposes, as specified in the attached appendices.
8- The Exchange: A system for the exchange of goods or services or assets between the two parties, where values are exchanged without the use of money, and the value of each good/service/asset is determined to ensure the balance of the transaction.
9- Delivery: The process of transferring possession of the goods/services/assets from the party providing them to the receiving party.
10- Receipt: The process of the receiving party accepting the goods/services/assets after inspecting them and ensuring they conform to the agreed specifications.
11- Guarantee: The obligation of each party regarding the quality of the goods/services/assets it provides, and their freedom from defects, as specified in Article (8) of this contract.
12- Risks of Damage or Destruction: Bearing the risks related to the damage or destruction of the goods/services/assets, in accordance with the terms specified in this contract.
13- Delivery Period: The time period allocated for the delivery of the goods/services/assets, as specified in Article (3) of this contract.
14- Related Parties: Includes subsidiaries, parent companies, sister companies, as well as managers, employees, contractors, consultants, agents, and representatives.
