This contract is made between the parties whose complete data are indicated in the attached contracting form, referred to herein as "the First Party" (Content Owner / Producer of the Artwork) and "the Second Party" (Distributor / Broadcasting Platform / Distribution Network), collectively referred to as "the Parties." In accordance with the provisions of the Egyptian Civil Law No. 131 of 1948, the Intellectual Property Rights Protection Law No. 82 of 2002 (especially Articles 138-178 pertaining to copyright and related rights), the Commercial Law No. 17 of 1999, the Personal Data Protection Law No. 151 of 2020, the Press and Media Regulation Law No. 180 of 2018, and the applicable laws and regulations in the Arab Republic of Egypt, this agreement aims to regulate the relationship of broadcasting and distributing audiovisual content between the First Party (Content Owner / Producer of the Artwork) and the Second Party (Distributor / Broadcasting Platform / Distribution Network), whereby the owner grants the distributor a license to broadcast and distribute the artwork (film, series, program, or any audiovisual content) through multiple platforms and outlets (OTT, television, radio, internet, etc.), in exchange for agreed financial rights (a percentage of the revenues or a lump sum), determining the geographical scope, licensing period, exclusive and non-exclusive broadcasting rights, financial reporting mechanisms, protecting the content from piracy, and conditions for compensation and penalties, all within a framework of transparency and commitment to the highest standards of the media industry and the governing laws in the Arab Republic of Egypt. The Parties have agreed to the following:

Article (1) Contract Definitions
1- The words and phrases listed below - wherever they appear in this Agreement - shall have the meanings set forth next to each, unless the context requires a different meaning:
2- The Contract: Refers to this content distribution and broadcasting agreement in its entirety, including its provisions and annexes, and its introduction is considered an integral part thereof.
3- Content Owner: The first party to this contract, referring to the natural or legal person (the producer, production company, original rights holder) who owns the rights to exploit the artistic work and grants a license to the distributor.
4- Distributor: The second party to this contract, referring to the natural or legal person (OTT streaming platform, television network, radio station, digital distributor) who obtains a license to broadcast and distribute the artistic work and commercially exploits it through various broadcasting outlets.
5- Artistic Work: The audiovisual content subject to the license (film, series, television program, documentary film, radio program, or any other content), as detailed in Annex (1) of this contract.
6- Broadcasting Rights: The rights granted to the distributor to broadcast and distribute the artistic work on specified platforms and outlets, including television broadcasting (both free-to-air and pay-TV), digital broadcasting (OTT, VOD, SVOD, AVOD), radio broadcasting, and online broadcasting.
7- Platform / Outlet: The channel or means through which the artistic work is broadcast (digital platform, television channel, radio station, website, application, etc.).
8- Geographical Scope: The geographical area in which the distributor is allowed to broadcast the artistic work (Egypt, the Arab world, the world, or specific regions), as specified in Annex (2) of this contract.
9- License Period: The timeframe during which the license is granted to the distributor, as specified in Article (3) of this contract.
10- Exclusivity: The exclusive right of the distributor to broadcast the artistic work in a specific geographical area or on a specific platform, such that the content owner is not permitted to grant licenses to other parties in the same area or on the same platform during the license period.
11- Revenues: All financial amounts earned by the distributor from the exploitation of the artistic work, including subscription fees, advertising revenues, pay-per-view (PPV) fees, and any other sources of income related to broadcasting.
12- Net Revenues: The total revenues minus the direct costs (technical distribution costs, platform fees, payment commissions, taxes, and any other agreed-upon costs).
13- Revenue Share Percentage: The percentage of net revenues entitled to the content owner from the distributor, as specified in Article (5) of this contract.
14- Financial Report: The periodic report submitted by the distributor to the content owner, detailing the realized revenues, costs, net revenues, and amounts due.
15- Related Parties: Includes subsidiaries, parent companies, sister companies, as well as directors, employees, contractors, consultants, agents, and representatives.
