This contract is made between the two parties whose complete details are provided in the attached contracting form, hereinafter referred to as "the First Party" (Owner of Broadcasting Rights / Event Organizer / Producer) and "the Second Party" (Broadcasting Entity / Television Channel / Digital Platform), collectively referred to as "the Parties". In accordance with the provisions of the Egyptian Civil Law No. 131 of 1948, the Law on the Protection of Intellectual Property Rights No. 82 of 2002 (specifically Articles 138-178 concerning copyright and neighboring rights), the Commercial Law No. 17 of 1999, the Personal Data Protection Law No. 151 of 2020, the Press and Media Regulation Law No. 180 of 2018, and the applicable laws and regulations in the Arab Republic of Egypt, this agreement aims to regulate the licensing relationship of broadcasting rights between the First Party (Owner of Broadcasting Rights / Event Organizer / Producer) and the Second Party (Broadcasting Entity / Television Channel / Digital Platform), whereby the rights owner grants the broadcasting entity a license to broadcast a sporting, artistic, cultural event, or any other content (match, concert, competition, or show) on its channels and platforms (open television, paid, OTT digital platforms), in exchange for an agreed-upon licensing fee, specifying the scope of the broadcast (geographically and temporally), exclusive and non-exclusive broadcasting rights, rebroadcast rights, digital broadcasting rights, excerpt rights, as well as the broadcasting entity's obligations regarding broadcast quality, protection of intellectual property rights, terms of indemnity and penalties, all in an atmosphere of transparency and adherence to the highest standards of the media industry and the organizing laws in the Arab Republic of Egypt. The parties have agreed on the following:

Article (1) Definitions of the Contract
1- The words and phrases below - wherever they appear in this agreement - shall have the meanings assigned next to each of them, unless the context of the text requires otherwise:
2- Contract: Refers to this broadcasting rights agreement in its entirety, including its provisions and annexes, and its preamble constitutes an integral part thereof.
3- Owner of Broadcasting Rights: The first party to this contract, being the natural or legal person (event organizer, producer, sports federation, original rights holder) who owns the broadcasting rights to the event or content, and grants the license to the broadcasting entity.
4- Broadcasting Entity: The second party to this contract, being the natural or legal person (television channel, broadcasting network, OTT digital platform, radio station) that obtains the license to broadcast the event or content.
5- Event / Content: The sports, artistic, cultural event or any other content broadcast under this contract (match, ceremony, competition, show, program), as detailed in Annex (1) of this contract.
6- Broadcasting Rights: The rights granted to the broadcasting entity to broadcast the event or content, including television broadcasting (free and paid), digital broadcasting (OTT, VOD, SVOD, AVOD), radio broadcasting, rebroadcast rights, and highlights rights.
7- Live Broadcasting: Broadcasting the event or content at the time it occurs either instantaneously or with a slight delay (minutes).
8- Recorded Broadcasting: Broadcasting the event or content after its conclusion, at a later time (deferred recording).
9- Rebroadcast: Broadcasting the event or content again after the first broadcast (replay).
10- Highlights: Short clips of the event or content (less than 3 minutes) used for news or promotional purposes.
11- Geographic Scope: The geographical area in which the broadcasting entity is permitted to broadcast the event or content (Egypt, the Arab world, the globe, or specific regions), as specified in Annex (2) of this contract.
12- License Period: The timeframe during which the license is granted to the broadcasting entity, as specified in Article (3) of this contract.
13- License Fees: The amount of money that the broadcasting entity is obliged to pay to the owner of the broadcasting rights in exchange for the license, as specified in Article (4) of this contract.
14- Exclusivity: The exclusive right of the broadcasting entity to broadcast the event or content in a specific geographical area, such that the owner of the rights is not permitted to grant licenses to other parties in the same area during the license period.
15- Related Parties: Includes subsidiaries, parent companies, affiliate companies, as well as directors, employees, contractors, consultants, agents, and representatives.
