This contract is entered into between the two parties whose full data are reflected in the attached contracting form, referred to herein as “the First Party” (the Cloud Service Provider) and “the Second Party” (the Client/Beneficiary of the Cloud Services), jointly referred to as “the Parties.” This agreement aims to regulate the relationship regarding the provision of cloud computing services between the First Party (the Cloud Service Provider) and the Second Party (the Client/Beneficiary of the Cloud Services), where the Service Provider is obliged to provide cloud infrastructure (IaaS, PaaS, SaaS) to the Client, including virtual servers, storage spaces, databases, networks, software, and other cloud services, ensuring specified performance and quality service levels, data security and protection, operational continuity, backup, data recovery, and technical support, in exchange for a mutually agreed fee, within a framework of transparency and adherence to the highest cloud computing standards and regulations in the Arab Republic of Egypt. The Parties have agreed to the following:
Article (1) Definitions of the Agreement
1- The words and phrases hereinafter - wherever mentioned in this agreement - shall have the meanings assigned to them alongside each, unless the context requires another meaning:
2- The Agreement: Refers to this Cloud Computing Agreement in its entirety along with its provisions and annexes, with its preamble considered an integral part thereof.
3- The Cloud Service Provider: The First Party in this Agreement, which is the company specialized in providing cloud computing services (IaaS, PaaS, SaaS), and licensed to carry out this activity.
4- The Client: The Second Party in this Agreement, which is the natural or legal person benefiting from the cloud computing services and operating its systems, applications, and data on the cloud infrastructure of the provider.
5- Cloud Services: The cloud infrastructure (IaaS), cloud platforms (PaaS), software applications as a service (SaaS), and any other services provided by the Service Provider to the Client, as specified in Annex (1) to this Agreement.
6- Infrastructure as a Service (IaaS): Providing virtual computing resources (servers, storage, networks, operating systems) as a service via the internet.
7- Platform as a Service (PaaS): Providing a platform for the development and deployment of cloud applications, including operating systems, databases, development tools, and middleware.
8- Software as a Service (SaaS): Providing complete software applications online, accessible and usable by the Client without the need to install or manage them.
9- Virtual Servers: Virtual computers operating on the cloud infrastructure, providing processing and storage capabilities for the Client.
10- Cloud Storage Space: The allocated space on cloud storage for storing the Client's data and files.
11- Cloud Databases: Database management systems operating on the cloud infrastructure.
12- Cloud Networks: Virtual networks that connect the various cloud resources and provide internet connectivity.
13- Cloud Backup: Storing copies of the Client's data in multiple locations within the cloud infrastructure, for recovery in case of loss of the original data.
14- Disaster Recovery: The process of restoring the Client's systems and data in the event of disasters or major failures.
15- Service Availability Percentage (Uptime): The percentage of time that the cloud services are available and usable by the Client.
16- Service Level Agreement (SLA): The specifications and technical standards for the cloud services, including uptime, performance, security, backup, technical support, as specified in Annex (2) to this Agreement.
17- Term of the Agreement: The duration during which the Service Provider is obligated to provide cloud services to the Client, as specified in Article (3) of this Agreement.
18- Fees for Cloud Services: The monetary amount that the Client is obligated to pay to the Service Provider for cloud services, as specified in Article (5) of this Agreement.
19- Pricing Model: The method for calculating the cloud service fees (pay-as-you-go, fixed monthly/yearly subscription, payment based on consumed resources, etc.).
20- Related Parties: Includes subsidiaries, parent companies, sister companies, as well as directors, employees, contractors, consultants, agents, and representatives.
Article (2) Subject of the Agreement and Scope of Cloud Services
