This contract is made between the two parties whose complete details are outlined in the attached contracting form, referred to herein as "the First Party" (the Photographer / Photography Company) and "the Second Party" (the Client / Brand / Advertising Agency), collectively referred to as "the Parties." In accordance with the provisions of the Egyptian Civil Law No. 131 of 1948, the Intellectual Property Rights Protection Law No. 82 of 2002 (specifically Articles 138-178 concerning copyright and related rights), the Commercial Law No. 17 of 1999, the Personal Data Protection Law No. 151 of 2020, the Advertising Regulation Law No. 33 of 2023, and privacy protection laws and regulations in force in the Arab Republic of Egypt, this agreement aims to regulate the relationship of commercial advertising photography between the First Party (the Photographer / Photography Company) and the Second Party (the Client / Brand / Advertising Agency), whereby the Photographer commits to providing professional photography services for advertising and marketing purposes (for products, fashion, food, beverages, real estate, individuals, and others) in accordance with the agreed specifications, in exchange for an agreed fee, along with the transfer of rights to use the images (either exclusively or non-exclusively) to the Client for its advertising and commercial purposes (printing, online publishing, television advertisements, social media, and others), while specifying the period of use, geographic scope, modification rights, publication rights, written approvals from the individuals being photographed, and terms of compensation and penalties, all within a framework of transparency and commitment to the highest standards of advertising photography and the governing laws in the Arab Republic of Egypt. The Parties have agreed to the following:

Article (1) Definitions of the Contract
1- The terms and phrases listed below - wherever they appear in this agreement - shall have the meanings specified alongside each one, unless the context of the text requires another meaning:
2- Contract: Refers to this advertising photography agreement in its entirety, including its terms and annexes, with its preamble considered an integral part thereof.
3- Photographer / Photography Company: The first party to this contract, being the natural or legal person specialized in advertising photography, who provides photography services and holds intellectual rights to the images produced (unless otherwise agreed for transfer).
4- Client: The second party to this contract, being the natural or legal person (brand, advertising agency, company) that requests advertising photography services and benefits from the images produced for its commercial purposes.
5- Images: The photographic images produced under this contract, including original images (Raw Files), processed images (Edited Files), final images (Final Files), and all other outputs.
6- Commercial Use: The use of images for marketing, advertising, and commercial purposes, including printing, electronic publishing, television advertisements, digital advertisements, social media, websites, catalogs, brochures, posters, billboards, and any other use that generates financial returns for the client.
7- Written Consent (Release Form): A document signed by the individuals being photographed, granting the photographer and client the right to use their images in the advertising campaign.
8- Copyrights: The legal rights granted to the photographer or client to utilize the images, including the right to copy, distribute, display, modify, and license to third parties.
9- Usage Period: The duration of time during which the client is permitted to use the images, as specified in Article (3) of this contract.
10- Geographical Scope: The geographical area where the client is allowed to use the images (Egypt, the Arab world, globally, or specific regions).
11- Final Delivery: The process of delivering the final images to the client in the agreed formats and quality.
12- Related Parties: Includes subsidiaries, parent companies, sister companies, as well as directors, employees, contractors, consultants, agents, and representatives.
