Article (1) Preamble and Definitions
1- This preamble and the attached appendices constitute an integral part of this agreement and complement its provisions, and should be read as a single comprehensive document.
2- "This Agreement" refers to this contract and its appendices and any written amendments; "Members of the Consortium" refers to the parties indicated in the attached contracting form; "Member" refers to any one of them; "Project" refers to the subject of collaboration specified in this agreement; and "Applicable Law" refers to the governing laws and regulations.
3- The headings of the articles have been placed solely for the convenience of reference and shall not be considered in interpretation; in the case of ambiguity, reference shall be made to the intention of the members of the consortium, the nature of the transaction, and the requirements of good faith.
4- The provisions of this agreement shall be interpreted in a manner that fully achieves its purpose and does not conflict with the applicable law.

Article (2) Eligibility of Consortium Members and Their Qualifications
1- Each member acknowledges that he/she possesses full legal capacity and authority to enter into this agreement and to fulfill the obligations arising therefrom, and that the person signing on his/her behalf is duly authorized with a proper delegation.
2- Each member acknowledges that entering into and executing this agreement does not violate any law, license, or contractual obligation to which he/she is subject, and confirms the accuracy and completeness of the data and documents submitted.
3- Each member commits to obtaining any necessary licenses and approvals to fulfill his/her obligations and to maintain their validity throughout the duration of this agreement.

Article (3) Subject of the Consortium and Its Purpose
1- The members agree to form a consortium to submit to/execute the following project:  , without establishing an independent legal entity.
2- The members of the consortium commit to implementing the provisions of this article in good faith and in a manner that achieves its purpose, without prejudice to the remaining provisions of this agreement.

Article (4) Duration of this Agreement and its Effectiveness
1- This Agreement shall come into effect from   for a duration of  .
2- This Agreement may be renewed or terminated in accordance with its provisions, and mere continuation of execution does not result in automatic renewal unless explicitly stated in writing.

Article (5) The Leading Member, Coordination, and Representation
1- The leading member shall coordinate among the members and represent the consortium before the project owner, within the limits of the authority defined in this agreement.
2- This shall be detailed—when necessary—in an annex which shall be an integral part of this agreement.

Article (6) Scope of Work of Each Member and Their Responsibilities
1- Each member shall undertake the scope of work assigned to them as indicated in the annex, and shall be responsible for its execution in accordance with the agreed quality and deadlines.
2- The consortium members shall cooperate to overcome any obstacles that may hinder the implementation of this article in the interest of the project.

Article (7) Responsibility towards the Project Owner
1- The responsibility of the members towards the project owner is determined to be either joint or individual depending on the scope of each member as specified in this agreement and the project contract.
2- The consortium members undertake to implement the provisions of this article in good faith and in a manner that fulfills its purpose without violating the other provisions of this agreement.

Article (8) Distribution of Revenues and Costs
1- The revenues and costs of the project shall be distributed among the members according to the ratios specified in:  .
2- The details thereof—if applicable—shall be outlined in an appendix that constitutes an integral part of this agreement.

Article (9) Guarantees and Duration of the Consortium and its Termination
1- Each member shall provide its respective guarantees and bonds, and the consortium shall continue until the project is completed or terminated in accordance with the provisions of this agreement.
2- The members of the consortium shall collaborate to overcome any obstacles that may hinder the execution of this article in a manner that serves the project.

Article (10) Commitments of Consortium Members and Good Faith
1- Consortium members are obligated to execute this agreement in good faith, exercising the necessary diligence and mutual cooperation to achieve the project in the best possible manner.
2- Each member is committed to providing the resources, information, and support they have pledged, in a timely manner and according to the agreed specifications, and to notify the other consortium members immediately upon becoming aware of any obstacle affecting the execution.
3- Each member shall refrain from any act or omission that may harm the project, the lawful interests of the other consortium members, or their reputation.
