This contract is executed between the two parties whose complete details are outlined in the accompanying contracting form, referred to herein as “the First Party” (the Management Consultant) and “the Second Party” (the Client), collectively referred to as “the Parties.” Under this sturdy contract, the First Party (the Management Consultant) commits to providing specialized management consulting services to the Second Party (the Client), according to a defined Scope of Work (SOW) detailed in the appendices of this contract, utilizing the latest scientific methodologies and best global practices, with the aim of achieving specific strategic and operational objectives for the Client. The Client commits to providing the necessary information and data, facilitating requirements, and paying the agreed fee according to a schedule linked to the delivery of outputs (reports, studies, plans) and their adoption by the Client. This contract aims to organize the relationship between the Parties on principles of high professionalism and mutual trust, protecting the intellectual property of the Client concerning the outputs, ensuring the confidentiality of exchanged information, and establishing precise standards for the quality of the provided consultations, remedial actions, and compensations, thus maximizing the benefits for the Client from the Consultant’s expertise and protecting the Consultant from lack of cooperation from the Client or delay in payment of dues, in accordance with the provisions of the Egyptian Civil Code and the rulings of the Court of Cassation regarding consultancy and professional service contracts, thus reinforcing the principle of transparency and commitment in consultancy relationships. The Parties have agreed to the following:
Article (1) Contract Definitions (Professional and Legal Pillars)
1- The following words and phrases - wherever mentioned in this contract - shall have the meanings specified alongside each, unless the context requires otherwise:
2- Contract: Refers to this management consultancy agreement in its full clauses and appendices, with its introduction being an integral part thereof.
3- Management Consultant: The First Party, a natural or legal person (the consulting company or institution) specialized in providing management consulting services, registered in the commercial registry, licensed to conduct the activity (if required), who commits to delivering the services in accordance with the specified specifications and timelines, using a qualified and experienced team.
4- Client: The Second Party, a natural or legal person (company, institution, authority) requesting consulting services, who commits to providing the necessary facilities and information, paying the due fee, and approving the outputs.
5- Consulting Services (Scope of Work - SOW): The set of tasks, activities, and outputs that the Consultant commits to providing, detailed in Appendix (1) of this contract, which include but are not limited to: (preparing studies, recommendations, strategic plans, restructuring, developing work systems, performance evaluation, management training).
6- Outputs (Deliverables): The tangible and deliverable products provided by the Consultant to the Client, such as (reports, studies, plans, templates, recommendations, presentations, proposed work systems).
7- Data and Information (Raw Materials): Financial, operational, marketing, and administrative information and data provided by the Client to the Consultant as inputs for his work, which are considered the property of the Client and are fully confidential.
8- Intellectual Property of Outputs: Intellectual property rights (copyrights, publishing rights, designs, methodologies) arising from the outputs provided by the Consultant. Under this contract, ownership of these outputs transfers entirely to the Client upon full payment of the due fee, according to Article (6) of this contract.
9- Stage Report: A written report provided by the Consultant at the end of each project phase, detailing what has been accomplished, the preliminary results, partial recommendations, and the action plan for the next phase, and this report is a necessary requirement for the disbursement of the due payment.
10- Letter of Acceptance (Final Acceptance): An official document issued by the Client to the Consultant at the project's conclusion, confirming acceptance of the final outputs, completion of services as per the scope of work, and commencement of the warranty period for the consultations, and this letter is a prerequisite for disbursing the final payment.
11- Sub-consultants: Any other experts or consultants whom the Consultant contracts with to assist in executing part of the services, which is only permitted with prior written consent from the Client.
