This contract is made between the two parties whose complete details are outlined in the attached contracting form, referred to herein as “the First Party” (API Provider / Platform Owner) and “the Second Party” (Client / API User), collectively referred to as “the Parties.” In accordance with the provisions of the Egyptian Civil Code No. 131 of 1948, the Intellectual Property Rights Protection Law No. 82 of 2002 (particularly Articles 138-178 concerning copyright and neighboring rights), the Commercial Law No. 17 of 1999, the Personal Data Protection Law No. 151 of 2020, the E-Commerce Regulation Law No. 15 of 2022, the Information Technology Crimes Law No. 175 of 2018, and the laws and regulations in force in the Arab Republic of Egypt, this agreement aims to regulate the relationship of providing and using the Application Programming Interface (API) between the First Party (API Provider / Platform Owner) and the Second Party (Client / API User), whereby the API Provider commits to providing secure and reliable access to the API for the Client, in order to benefit from the data, services, and functionalities offered by the platform, whether for a fee or free of charge as per the agreement, with the specification of the scope of use, restrictions, request rates, performance guarantees, security, data protection, indemnity and penalty conditions, termination and cancellation rights, all within an atmosphere of transparency and adherence to the highest standards of technical integration and the governing laws in the Arab Republic of Egypt. The Parties have agreed to the following:

Article (1) Definitions of the Agreement
1- The words and phrases hereinafter shall have the meanings set forth beside each of them in this Agreement, unless the context of the text requires another meaning:
2- Agreement: refers to this API availability agreement in its entirety along with its appendices, and its preamble shall be considered an integral part thereof.
3- API Provider: the first party to this Agreement, being the owner and operator of the platform or system that provides the application programming interface (API) to access its services and data.
4- Client: the second party to this Agreement, being the natural or legal person who obtains a license to use the API, and integrates it into their applications or systems or services.
5- API (Application Programming Interface): a set of protocols, tools, definitions, and programming interfaces that enable the client to communicate with the API Provider's platform, and access its data, services, and functions, as specified in Appendix (1) of this Agreement.
6- API Key: a unique identification code granted to the client to verify their identity and allow them to use the API.
7- Endpoint: a specific URL address through which access is made to a particular function or service of the API.
8- Request: a message sent by the client to the API requesting data or performing a specific function.
9- Response: a message sent by the API to the client containing the data or the result of executing the request.
10- Rate Limit: the maximum number of requests that the client can send to the API during a specific period of time (usually per second, minute, hour, or day).
11- Usage Quota: the maximum number of requests or amount of data that the client can use during a specific period of time (usually monthly).
12- API Data: all data, information, and content accessed via the API, including personal data, commercial data, content, images, and files.
13- Client Application: the software application, website, or service developed by the client that uses the API.
14- End User: the end user of the client application who interacts with the application and whose data is transmitted via the API.
15- Usage Period: the time period during which the client is allowed to use the API, as specified in Article (3) of this Agreement.
16- Usage Fees: the monetary amount that the client is obligated to pay to the API Provider in exchange for using the API, as specified in Article (5) of this Agreement.
17- Related Parties: includes subsidiaries, parent companies, sister companies, as well as directors, employees, contractors, consultants, agents, and representatives.
