This contract is concluded between the two parties whose full details are set out in the attached contracting form, referred to herein as "the first party" (the Seller) and "the second party" (the Buyer), collectively referred to as "the two parties." In accordance with the provisions of the Egyptian Civil Code No. 131 of 1948 (Articles 418-438 regarding sales), the Commercial Law No. 17 of 1999, the Traffic Law No. 66 of 1973, the Personal Data Protection Law No. 151 of 2020, and the laws and regulations in force in the Arab Republic of Egypt, this contract aims to regulate the relationship of buying and selling of the vehicle between the first party (the Seller) and the second party (the Buyer), where the Seller undertakes to transfer ownership of the vehicle to the Buyer and deliver it free of any third-party rights or liens or violations, in exchange for an agreed-upon monetary price, with stipulation of the terms of delivery, transfer of ownership, warranties, payment conditions, liability, indemnity and penalties, and rights of cancellation and termination, all within a framework of transparency and adherence to the highest standards of commercial contracts and the governing laws in the Arab Republic of Egypt. The parties have agreed to the following:

Article (1) Definitions of the Contract
1- The following words and phrases - wherever they appear in this contract - shall have the meanings specified next to each of them, unless the context of the text requires another meaning:
2- The contract: refers to this sale agreement for the vehicle, in all its terms and appendices, and its preamble shall be considered an integral part thereof.
3- The seller: the first party to this contract, who is the legal owner of the vehicle, or legally authorized to sell it, and who transfers its ownership to the buyer.
4- The buyer: the second party to this contract, who is the natural or artificial person purchasing the vehicle from the seller and pays the agreed price.
5- The vehicle: the vehicle subject to sale, detailed in Article (2) of this contract, including the make, model, year of manufacture, chassis number, engine number, color, mileage, and any other specifications.
6- The documents: all official documents related to the vehicle, including the vehicle license, registration card, insurance certificate, technical inspection certificate, and any other documents.
7- The price: the financial amount that the buyer is obligated to pay to the seller in exchange for the vehicle, as specified in Article (4) of this contract.
8- The delivery: the process of transferring possession of the vehicle and its documents from the seller to the buyer.
9- The acceptance: the process of the buyer accepting the vehicle and its documents after inspecting them and ensuring they match the agreed description.
10- The transfer of ownership: the transfer of ownership of the vehicle from the seller to the buyer, and its registration in the buyer's name in the official records (traffic).
11- The clearance: the seller's obligation that the vehicle is free from any third-party rights, liens, attachments, traffic violations, or any other obligations.
12- The warranty: the seller's obligation that the vehicle is free from hidden defects, as specified in Article (7) of this contract.
13- The delivery period: the duration allocated for the delivery of the vehicle, as specified in Article (3) of this contract.
14- The related parties: includes subsidiaries, parent companies, sister companies, as well as managers, employees, contractors, consultants, agents, and representatives.

Article (3) Contract Duration and Delivery Period
