This contract is concluded between the two parties whose full details are specified in the attached contracting form, referred to herein as “the First Party” (the Seller) and “the Second Party” (the Buyer), collectively referred to as “the Parties.” In accordance with the provisions of the Egyptian Civil Law No. 131 of 1948 (Articles 418-438 concerning Sale), Commercial Law No. 17 of 1999, Consumer Protection Law No. 181 of 2018, Personal Data Protection Law No. 151 of 2020, and the laws and regulations in force in the Arab Republic of Egypt, this contract aims to regulate the sale and purchase of machinery and equipment between the First Party (the Seller) and the Second Party (the Buyer), whereby the Seller undertakes to transfer the ownership of the machinery and equipment to the Buyer and to deliver them free of any third-party rights or encumbrances, in exchange for an agreed cash price, while specifying the terms of delivery, transfer of ownership, installation, training, warranties, payment terms, liability, compensation and penalties, and the rights of rescission and termination, all within a framework of transparency and adherence to the highest standards of commercial contracts and the regulating laws in the Arab Republic of Egypt. The parties have agreed to the following:

Article (1) Definitions of the Contract
1- The terms and phrases set forth below - wherever they appear in this contract - shall have the meanings indicated next to each, unless the context requires a different meaning:
2- The contract: refers to this agreement for the sale of machinery and equipment with all its terms and appendices, and its preamble is considered an integral part thereof.
3- The seller: the first party to this contract, who is the legal owner of the machinery and equipment, or legally authorized to sell them and who transfers ownership to the buyer.
4- The buyer: the second party to this contract, who is the natural or legal person purchasing the machinery and equipment from the seller and paying the agreed price.
5- Machinery and equipment: the equipment, machines, devices, and tools being sold, as detailed in Appendix (1) of this contract.
6- Appendices: all components, parts, tools, consumables, documents, manuals, disks, software, and any other materials related to the machinery and equipment, which are delivered with them.
7- Installation: the process of setting up and operating the machinery and equipment at the buyer's location, and making them ready for use.
8- Training: the process of training the buyer's employees on the operation and maintenance of the machinery and equipment, according to the agreed training plan.
9- Documents: all documents related to the machinery and equipment, including certificates of origin, quality certificates, operation manuals, maintenance manuals, installation guides, and any other documents.
10- The price: the monetary amount that the buyer is obligated to pay to the seller for the machinery and equipment, as specified in Article (5) of this contract.
11- Delivery: the process of transferring possession of the machinery and equipment and their appendices and documents from the seller to the buyer.
12- Acceptance: the process of the buyer's acceptance of the machinery and equipment after inspecting them and ensuring their conformity with the agreed specifications.
13- Transfer of ownership: the transfer of ownership of the machinery and equipment from the seller to the buyer.
14- Warranty: the seller's commitment to the quality of the machinery and equipment and its freedom from defects, as stipulated in Article (9) of this contract.
15- Delivery period: the time allocated for the delivery of the machinery and equipment, as specified in Article (3) of this contract.
16- Related parties: includes subsidiaries, parent companies, sister companies, as well as managers, employees, contractors, consultants, agents, and representatives.
