This contract is made between the two parties whose complete data are stated in the attached contracting form, referred to herein as "party one" (the artist/performer) and "party two" (the production entity/event organizer), collectively referred to as "the parties." According to the provisions of the Egyptian Civil Law No. 131 of 1948, the Intellectual Property Rights Protection Law No. 82 of 2002 (specifically Articles 138-178 concerning copyright and related rights), the Commercial Law No. 17 of 1999, the Personal Data Protection Law No. 151 of 2020, the Press and Media Regulation Law No. 180 of 2018, and the laws and regulations in force in the Arab Republic of Egypt, this agreement aims to regulate the artistic performance relationship between party one (the artist/performer) and party two (the production entity/event organizer), wherein the artist undertakes to provide their artistic performance (acting, singing, showcasing, or any type of live or recorded performance) in an artistic work (film, series, concert, advertisement, or event) for an agreed fee, while specifying the rights and obligations of each party, rights to image and sound, credit rights, exclusivity conditions, work schedules, and terms of compensation and penalties, all within a framework of transparency and commitment to the highest standards of the artistic industry and the governing laws in the Arab Republic of Egypt. The parties have agreed as follows:

Article (1) Definitions of the Contract
1- The following words and phrases - wherever they appear in this agreement - shall have the meanings mentioned next to each of them, unless the context of the text necessitates another meaning:
2- Contract: Refers to this Technical Performance Agreement in all its terms and annexes, and its preamble constitutes an integral part thereof.
3- Artist / Performer: The first party to this contract, being the natural person (actor, singer, dancer, musician, performance artist, or any other artist) who commits to delivering their artistic performance in the work subject to this agreement.
4- Production Entity / Event Organizer: The second party to this contract, being the natural or legal person (production company, concert organizer, advertising agency) responsible for employing the artist, providing logistical arrangements, and managing the financial and administrative aspects of the work or event.
5- Artistic Work / Event: The artistic project (film, series, musical concert, theatrical performance, advertisement, or event) in which the artist will participate with their performance, specifically detailed in Annex (1) of this contract.
6- Performance: The artistic activity rendered by the artist (acting, singing, showcasing, playing, or any other form of live or recorded performance), including rehearsals and preparations.
7- Rehearsals: The training and preparation sessions undertaken by the artist before the actual performance, to ensure the quality of the final performance.
8- Image and Sound Rights: The material and moral rights related to the use of the artist's image and voice in the artistic work, and in any promotional or marketing materials associated with it.
9- Exclusivity: The artist's commitment not to participate in any competing or similar artistic work during the term of the contract or for a specified period thereafter.
10- Performance Fee: The monetary amount that the second party is obligated to pay to the artist in return for their performance, as specified in Article (4) of this contract.
11- Equipment Allowance: The additional monetary amount paid to the artist to cover the costs of artistic preparation (costumes, makeup, hairstyle, etc.) if the production entity does not provide them.
12- Credits Rights: The obligation of the production entity to include the artist's name at the beginning or end of the work, and in all promotional materials, in the size and order agreed upon.
13- Related Parties: Includes subsidiaries, parent companies, as well as managers, employees, contractors, consultants, agents, and representatives.

Article (2) Subject of the Contract and Scope of Artistic Performance

11- The artist is obliged to deliver their artistic performance according to the agreed artistic vision, and with the highest level of professionalism and quality.
12- The artist is obliged to attend all required rehearsals and preparations, according to the agreed schedule in Annex (2) of this contract.
13- The artist is obliged to adhere to the instructions of the director or artistic supervisor, within the limits of the agreement, and to cooperate with the team to achieve the best results.
