This contract is made between the two parties whose full details are provided in the attached contract form, referred to herein as "Party One" (the Licensor / Owner of the Database) and "Party Two" (the Licensee / Beneficiary of the License), collectively referred to as "the Parties." According to the provisions of the Egyptian Civil Law No. 131 of 1948, the Intellectual Property Rights Protection Law No. 82 of 2002 (especially Articles 138-178 pertaining to copyright and related rights, and Articles 171-174 concerning databases), the Commercial Law No. 17 of 1999, the Personal Data Protection Law No. 151 of 2020, the Electronic Commerce Regulation Law No. 15 of 2022, the Anti-Cybercrime Law No. 175 of 2018, and the applicable laws and regulations in the Arab Republic of Egypt, this agreement aims to regulate the licensing relationship for the use of the database between Party One (the Licensor / Owner of the Database) and Party Two (the Licensee / Beneficiary of the License), whereby the Licensor grants the Licensee a license to use a database protected by copyright and intellectual property rights (whether electronic, printed, or in any other form) under the specified terms and conditions, while preserving the rights of the database owner, defining the scope of use, and imposing restrictions on the Licensee (no copying, no distribution, no modification, etc.), ensuring data accuracy, and outlining support and update conditions, licensing fees, compensation and penalties provisions, and rights of termination and cessation, all within a framework of transparency and adherence to the highest standards of intellectual property protection and the governing laws in the Arab Republic of Egypt. The parties have agreed as follows:

Article (1) Definitions of the Agreement
1- The terms and phrases listed below - wherever they appear in this agreement - shall have the meanings specified next to each, unless the context requires a different meaning:
2- The Agreement: refers to this database licensing agreement in its entirety, including its provisions and annexes, and its preamble is considered an integral part of it.
3- The Licensor: the first party in this agreement, who is the legal owner of the database or authorized to grant licenses for its use to others, and holds the intellectual property rights associated with it, including copyright, database rights, and any other related rights.
4- The Licensee: the second party in this agreement, who is the natural or legal person receiving a license to use the database in accordance with the terms of this agreement.
5- The Database: an organized collection of data, information, or other materials, whether electronic or printed or in any other form, which is organized and accessed by electronic or non-electronic means, and detailed in Annex (1) of this agreement, including the content of the database, its structure, organization, and access method.
6- The Data: all information, numbers, texts, images, graphics, audio and visual clips, files, content, and any other materials contained in the database.
7- Personal Data: any data related to a specific or identifiable natural person, subject to the provisions of the Personal Data Protection Law No. 151 of 2020.
8- The License: the right granted to the Licensee to use the database in accordance with the terms and conditions specified in this agreement.
9- Scope of Use: the geographical area, number of users, and permitted uses, specified in Article (2) of this agreement.
10- Duration of the License: the time period during which the license is granted to the Licensee, specified in Article (3) of this agreement.
11- License Fees: the monetary amount that the Licensee is obliged to pay to the Licensor in exchange for the license, specified in Article (5) of this agreement.
12- Database Updates: new versions of the database issued by the Licensor, which include new data, corrections, or enhancements.
13- Backups: copies of the database for security purposes or to restore it in case of loss of the original data.
14- Reverse Engineering: the process of analyzing the database to understand its structure or functioning or to extract data from it.
15- Commercial Use: the use of the database for commercial purposes, including its integration into products or services that generate financial returns.
16- Related Parties: includes subsidiaries, parent companies, sister companies, as well as directors, employees, contractors, consultants, agents, and representatives.
