This contract is made between the parties whose full details are specified in the attached contracting form, referred to herein as "the first party" (the depositor) and "the second party" (the depositary/custodian), collectively referred to as "the parties." In accordance with the provisions of the Egyptian Civil Law No. 131 of 1948 (Articles 509-518 regarding deposits), Commercial Law No. 17 of 1999, Personal Data Protection Law No. 151 of 2020, and the applicable laws and regulations in the Arab Republic of Egypt, this agreement aims to regulate the deposit process between the first party (the depositor) and the second party (the depositary/custodian), whereby the depositary undertakes to safeguard the funds, movable items, or documents (hereinafter referred to as "the deposit") delivered to it by the depositor, in exchange for its commitment to preserve and return them in their original condition to the depositor upon request, without acquiring any right of use or disposal over them, in accordance with the provisions of the Egyptian Civil Law governing the deposit contract, rendering it a binding contract for both parties, ensuring the protection of the depositor's rights, and determining the obligations of the custodian to exercise due care, taking into account the provisions on statutory and judicial deposits (if applicable). The parties have agreed as follows:

Article (1) Definitions of the Contract
1- The words and phrases set forth below - as they appear in this contract - shall have the meanings indicated next to each of them, unless the context of the text requires a different meaning:
2- Contract: Refers to this deposit agreement in all its terms and appendices, the preamble of which constitutes an integral part thereof.
3- Depositor: The first party to this contract, which is the owner of the funds or items that are the subject of the deposit or the person legally authorized to deposit them.
4- Depositary / Custodian: The second party to this contract, which is the natural or legal person who receives the deposit from the depositor and is obligated to safeguard it and return it upon request.
5- Deposit: The cash amounts or movable items or documents or securities or any other assets delivered from the depositor to the depositary under this contract, as specified in Article (2) of this contract.
6- Legal Deposit: The deposit that does not deviate from the general rules set forth in the civil law and is based on the agreement of the parties without judicial intervention.
7- Judicial Deposit: The deposit ordered by the court or the public prosecutor, which is subject to special provisions in the Code of Civil Procedure.
8- Duration of the Deposit: The period during which the depositary is obligated to safeguard the deposit, as specified in Article (3) of this contract.
9- Custody Fee: The monetary amount due to the depositary for safeguarding the deposit, as specified in Article (5) of this contract.
10- Delivery Record: The official document that proves the delivery of the deposit to the depositary, containing a precise description of it and its condition at the time of delivery.
11- Return Record: The official document that proves the return of the deposit from the depositary to the depositor, containing a description of its condition at the time of return.
12- Associated Parties: Includes subsidiaries, parent companies, sister companies, as well as directors, employees, contractors, advisors, agents, and representatives.

Article (2) Subject of the Contract and the Deposit

7- The deposit shall be delivered to the custodian in accordance with a delivery report signed by both parties, which includes a precise description of the deposit and its condition, any defects or damages present, and the date of delivery.
8- The delivery report shall be considered an integral part of this contract and shall serve as a reference for determining the condition of the deposit upon delivery and upon return.
9- In the event that the deposit is a monetary amount, the amount and the duration for which it will be kept must be specified, as well as whether it will be in a current account or a savings account (considering the provisions of bank interest if applicable).
