This contract is concluded between the two parties whose full details are provided in the attached contracting form, referred to herein as "the First Party" (Provider of Digitalization and Electronic Archiving Services) and "the Second Party" (Client / Owner of Documents), collectively referred to as "the Parties." In accordance with the provisions of the Egyptian Civil Code No. 131 of 1948, the Commercial Law No. 17 of 1999, the Personal Data Protection Law No. 151 of 2020, the Electronic Commerce Law No. 15 of 2022, the Anti-Cybercrime Law No. 175 of 2018, the Intellectual Property Rights Protection Law No. 82 of 2002, the Electronic Signature Law No. 15 of 2021, and the laws and regulations in force in the Arab Republic of Egypt, this contract aims to regulate the relationship of digitization and archiving of traditional documents and materials between the First Party (Provider of Digitalization and Electronic Archiving Services) and the Second Party (Client / Owner of Documents). The service provider is obliged to convert paper documents, images, films, maps, plans, audio and visual materials, and any other traditional materials into digital formats, index, classify, and archive them electronically, and provide secure and efficient retrieval systems while maintaining the integrity of the original materials, ensuring the accuracy and quality of the digitization, protecting the data, and providing archiving solutions compliant with legal and regulatory standards, in exchange for an agreed fee, defining the scope of work, quality standards, timelines, confidentiality terms, compensation and penalties, and rights to termination and ending, all within a framework of transparency and adherence to the highest standards of digitalization and electronic archiving and the governing laws in the Arab Republic of Egypt. The parties have agreed to the following:
Article (1) Definitions of the Contract
1- The following words and phrases - wherever they appear in this contract - shall have the meanings set forth next to each of them, unless the context requires a different meaning:
2- Contract: Refers to this digitization and electronic archiving agreement with all its clauses and appendices, and its preamble shall be considered an integral part of it.
3- Service Provider: The first party to this contract, which is the natural or legal person specialized in providing digitization and electronic archiving services, equipped with the necessary equipment, software, and personnel.
4- Client: The second party to this contract, which is the owner of the materials to be digitized and archived, or legally authorized to act on them.
5- Original Materials: Printed documents, photographs, films, maps, diagrams, audio and video materials, tapes, discs, printed materials, and any other traditional materials delivered to the service provider for digitization and archiving, as specified in Appendix (1) of this contract.
6- Digital Files: The digital formats resulting from the digitization process (such as PDF, JPEG, TIFF, MP4, MP3, and others), which represent the original materials in a digital form.
7- Metadata: The descriptive information that describes the digital files (such as title, date, author, subject, category, keywords, and any other data that facilitates search and retrieval).
8- Indexing: The process of organizing and classifying digital files and metadata systematically to facilitate search and retrieval.
9- Electronic Archiving: The process of storing digital files and metadata in a secure electronic system, providing mechanisms for search and retrieval, managing the document lifecycle, controlling access, and protecting data.
10- Archiving System: The software system, hardware, and infrastructure used in archiving digital files, including databases, storage servers, user interfaces, and search and retrieval tools.
11- Quality Standards: The standards and requirements that digital files must meet in terms of accuracy, clarity, quality, completeness, and conformity to the original materials, as specified in Appendix (2) of this contract.
12- Digitization Period: The time allocated for the digitization and archiving process, as specified in Article (3) of this contract.
13- Final Delivery: The delivery by the service provider of the digital files, metadata, and archiving system (if applicable) to the client, after the completion of the digitization and archiving process.
14- Warranty Period: The time period during which the service provider guarantees the quality of the digital files and their free from defects, as specified in Article (7) of this contract.
15- Service Fee: The financial amount that the client is obligated to pay the service provider for digitization and archiving services, as specified in Article (5) of this contract.
16- Related Parties: Includes subsidiaries, parent companies, sister companies, as well as directors, employees, contractors, consultants, agents, and representatives.
