This contract is made between the two parties whose complete details are provided in the attached contracting template, referred to herein as "Party One" (the donor) and "Party Two" (the beneficiary of the donation/grant), collectively referred to as "the Parties." In accordance with the provisions of the Egyptian Civil Law No. 131 of 1948 (Articles 488-502 concerning gifts and grants), the Law of Associations and Non-Governmental Organizations No. 149 of 2019, the Commercial Law No. 17 of 1999, the Personal Data Protection Law No. 151 of 2020, and the tax laws and regulations in force in the Arab Republic of Egypt, this agreement aims to regulate the donation process (financial or in-kind) between Party One (the donor) and Party Two (the beneficiary of the donation/grant), whereby the donor commits to providing a financial or in-kind donation to the beneficiary entity to support its activities, projects, or programs, in exchange for mutual obligations concerning transparency, disclosure, optimal use of the donation, reporting, and protecting the reputation of both parties, in accordance with the provisions of the Egyptian Civil Law that govern gift and donation contracts (Articles 488-502), which make them binding on the parties and ensure the protection of the rights of donors and beneficiaries, and regulate the aspects of disbursement and oversight of donations, in accordance with applicable laws and regulations. The parties have agreed to the following:

Article (1) Definitions of the Contract
1- The words and phrases hereinafter mentioned - wherever they appear in this contract - shall have the meanings set forth next to each of them, unless the context of the text requires another meaning:
2- The contract: refers to this Donation and Grant Agreement in its entirety, including all its terms and appendices, and its preamble shall be considered an integral part thereof.
3- The donor: the first party to this contract, being the natural or legal person who makes the donation (in cash or in kind) to the beneficiary, motivated by humanitarian, social, or developmental reasons, without direct monetary compensation.
4- The recipient of the donation: the second party to this contract, being the entity (natural or legal person) that receives the donation from the donor, and is obligated to use it for the purposes agreed upon in this contract.
5- The donation: the money, movable property, services, or any other resources provided by the donor to the recipient without compensation, voluntarily and of their own will, with the aim of supporting their activities or projects, and the donation may be either monetary or in kind.
6- The monetary donation: the financial amount that the donor commits to pay to the recipient, as specified in Article (4) of this contract.
7- The in-kind donation: the movable property, services, materials, equipment, or any non-monetary resources that the donor commits to provide to the recipient, as specified in Appendix (1) of this contract.
8- The purpose of the donation: the objective, project, program, or activity for which the donation is designated, as specified in Article (2) of this contract.
9- Acknowledgment of receipt: a written document signed by the recipient confirming their receipt of the donation, which includes details of the amount or item received, the date of receipt, and the recipient's commitment to use the donation for the specified purpose.
10- Expenditure report: the report submitted by the recipient to the donor, detailing how the donation was spent and used, the activities carried out under it, and the results achieved, according to the agreed-upon timeline.
11- Related parties: includes subsidiaries, parent companies, sister companies, as well as directors, employees, contractors, consultants, agents, and representatives.

Article (2) Subject of the Contract and Purpose of the Donation

10- In the case of an in-kind donation, the donor commits to providing the goods or services or materials specified in Appendix (1) of this contract.
11- In the case of a mixed donation, the donor commits to providing both the monetary amount and the in-kind materials as specified in Appendix (1).

13- Both parties acknowledge that the beneficiary entity is the legally authorized party to receive the donation, that it has the legal capacity to contract, and that it conducts its activities in accordance with the laws and regulations in force in the Arab Republic of Egypt.
