This contract is entered into between the two parties whose complete details are set forth in the attached contracting form, referred to herein as "the First Party" (the Merchant / Owner of the E-store) and "the Second Party" (the Supplier / Supplying Company), collectively referred to as "the Parties." In accordance with the provisions of Egyptian Civil Law No. 131 of 1948, Commercial Law No. 17 of 1999, Intellectual Property Rights Protection Law No. 82 of 2002, Personal Data Protection Law No. 151 of 2020, Electronic Commerce Regulation Law No. 15 of 2022, and Consumer Protection Laws and applicable regulations in the Arab Republic of Egypt, this agreement aims to organize the Dropshipping relationship between the First Party (the Merchant / Owner of the E-store) and the Second Party (the Supplier / Supplying Company), where the Supplier supplies and ships products directly to the Merchant's customers without the Merchant physically receiving the products, in exchange for specified prices, defining the obligations of each party concerning product quality, shipping times, return policies, prices, payment, data protection, compensation conditions, and penalties, in accordance with the provisions of the laws regulating e-commerce and consumer protection in the Arab Republic of Egypt. The Parties have agreed to the following:

Article (1) Definitions of the Contract
1- The terms and phrases listed below shall have the meanings assigned to them herein, unless the context requires otherwise:
2- Contract: refers to this Dropshipping Agreement in all its provisions and appendices, with its introduction being an integral part thereof.
3- Merchant: the First Party in this contract, i.e., the owner of the E-store who displays the Supplier's products for sale to customers, and is responsible for marketing, receiving orders, and collecting payments.
4- Supplier: the Second Party in this contract, i.e., the manufacturer or distributor providing products to the Merchant, responsible for storing, packaging, and shipping them directly to the Merchant's customers.
5- Dropshipping System: a business model whereby the Merchant markets and sells the Supplier's products without holding inventory, where the Supplier ships the products directly to the end customer upon receiving the order from the Merchant.
6- Products: the goods supplied by the Supplier to the Merchant for sale through the Merchant’s e-store, as specified in Article (2) of this contract.
7- Customer: the end consumer who purchases the products from the Merchant’s e-store.
8- Order: the purchase process conducted by the customer from the Merchant’s store, which is sent to the Supplier for shipping.
9- Wholesale Price: the price at which the Supplier commits to supply the products to the Merchant, as specified in Appendix (1) of this contract.
10- Final Sale Price: the price determined by the Merchant for selling the products to customers, which includes the wholesale price plus the Merchant's profit margin.
11- Processing Time: the period the Supplier takes to prepare the order for shipping from the date of receipt.
12- Shipping Time: the duration taken for the transportation from the Supplier's warehouse to the customer’s address.
13- Return Policy: the conditions governing the return of products and refunds to customers, as specified in Appendix (2) of this contract.
14- Contract Duration: the period during which the parties are obligated to adhere to the provisions of this agreement, as specified in Article (3) of this contract.
15- Related Parties: including subsidiaries, parent companies, sister companies, as well as directors, employees, contractors, consultants, agents, and representatives.

Article (2) Subject of the Contract and Products

9- The Supplier is obligated to provide the Merchant with accurate and complete descriptions of the products, including technical specifications, dimensions, materials, usage instructions, and safety information.
10- The Supplier is obligated to provide the Merchant with high-quality images of the products, from multiple angles, and illustrative images, with the possibility of using them for marketing purposes.
