This contract is concluded between the two parties whose complete details are stated in the attached contracting form, referred to herein as "the first party" (the production entity / owner of the original work) and "the second party" (the dubbing company / voice recording studio), collectively referred to as "the parties." In accordance with the provisions of the Egyptian Civil Law No. 131 of 1948, the Law on the Protection of Intellectual Property Rights No. 82 of 2002 (especially articles 138-178 pertaining to copyright and related rights), the Commercial Law No. 17 of 1999, the Personal Data Protection Law No. 151 of 2020, the Law on the Regulation of Press and Media No. 180 of 2018, and the laws and regulations in force in the Arab Republic of Egypt, this agreement aims to regulate the dubbing relationship between the first party (the production entity / owner of the original work) and the second party (the dubbing company / voice recording studio), wherein the dubbing company undertakes to provide dubbing services for the audiovisual work (film, series, animation, or any other content) from the original language into Arabic (or any other agreed language), including the translation of the text, selecting voice actors, recording, mixing, sound directing, and technical supervision, in return for an agreed fee, with the specification of intellectual property rights for the dubbed version (including broadcasting, distribution, and commercial exploitation rights), quality conditions, deadlines for delivery, rights of voice actors, protection of the original work from arbitrary modification, conditions for compensation and penalties, all within a framework of transparency and commitment to the highest standards of the media industry and the regulations in force in the Arab Republic of Egypt. The parties have agreed to the following:
Article (1) Contract Definitions
1- The terms and phrases listed below - wherever they appear in this agreement - shall have the meanings set forth beside each, unless the context requires a different meaning:
2- Contract: Refers to this dubbing agreement in its entirety, including its provisions and appendices, and its preamble is considered an integral part thereof.
3- Production Entity / Owner of the Original Work: The first party to this contract, which is the natural or legal person holding the rights to the original work (movie, series, animation), and who commissions the dubbing company to perform the dubbing.
4- Dubbing Company / Voice Recording Studio: The second party to this contract, which is the specialized company providing dubbing, voice recording, mixing, and sound directing services, and is authorized to engage in this activity.
5- Original Work: The original audiovisual work (in English or any other language) intended to be dubbed, detailed in Appendix (1) of this contract.
6- Dubbed Version: The final version of the work after it has been dubbed into Arabic (or the agreed language), including the dialogue, soundtrack, dubbed sound effects, and alternative voices.
7- Script Prepared for Dubbing: The text written in the target language (Arabic), which is prepared by a specialized translator, ensuring that it matches the meaning of the original text while considering lip synchronization and timing.
8- Voice Actors (Dubbing Performers): The actors who record the alternative voices for the characters in the work, according to the agreed role distribution.
9- Sound Director: The person responsible for the artistic direction of the dubbing, directing the voice actors, supervising the quality of the voice performance, and matching the recording to lip movements and emotions.
10- Duration of Dubbing: The time period allocated for carrying out the dubbing process (from translation to final delivery), specified in Article (3) of this contract.
11- Dubbing Rights: The rights granted to the production entity upon completion of the dubbing, which include the right to broadcast, distribute, and commercially exploit the dubbed version.
12- Associated Parties: Includes subsidiaries, parent companies, affiliate companies, as well as directors, employees, contractors, consultants, agents, and representatives.
Article (2) Subject of the Contract and Scope of Dubbing Services

13- Translation: Translation of the original text (dialogue, comments, songs) into the target language (Arabic), while ensuring linguistic accuracy, cultural compatibility, lip sync, and timing.
