This contract is made between the two parties whose complete details are provided in the attached contracting form, referred to herein as "the First Party" (Logistics Service Provider) and "the Second Party" (Merchant / Owner of the Online Store), collectively referred to as "the Parties". In accordance with the provisions of the Egyptian Civil Law No. 131 of 1948, the Commercial Law No. 17 of 1999, the Personal Data Protection Law No. 151 of 2020, the E-Commerce Regulation Law No. 15 of 2022, the Anti-Cybercrime Law No. 175 of 2018, and the applicable laws and regulations in the Arab Republic of Egypt, this agreement aims to regulate the relationship of logistics services of e-commerce between the First Party (Logistics Service Provider) and the Second Party (Merchant / Owner of the Online Store). The service provider commits to providing storage, packing, shipping, delivery, and returns management services for the customers associated with the merchant, with the aim of ensuring the safe and timely arrival of products to customers, while delineating the responsibilities of each party, storage conditions, delivery times, return policies, costs, compensation terms, and follow-up and reporting mechanisms, all within a framework of transparency and adherence to the highest quality standards and governing laws in the Arab Republic of Egypt. The Parties have agreed on the following:

Article (1) Definitions of the Contract
1- The terms and phrases below, wherever they appear in this contract, shall have the meanings specified next to each one unless the context requires a different meaning:
2- The contract: Refers to this logistics services agreement in its entirety, including its clauses and annexes, with its preamble being an integral part thereof.
3- Logistics Service Provider: The First Party in this contract, which is the company specialized in providing storage, packing, shipping, delivery, and returns management services.
4- Merchant: The Second Party in this contract, which is the owner of the online store benefiting from the logistics services to deliver its products to its customers.
5- Products: The goods sold by the merchant through the online store, which are stored and shipped by the Logistics Service Provider.
6- Warehouse: The location or warehouse where the service provider stores the merchant's products.
7- Order: The purchase process carried out by the customer from the merchant's online store, which is sent to the Logistics Service Provider for preparation and shipping.
8- Fulfillment: The process of receiving the order from the merchant, receiving the products from the warehouse, packing them, and preparing them for shipment.
9- Shipping: The process of transporting the products from the Logistics Service Provider's warehouse to the customer's address.
10- Delivery: The process of handing the product over to the customer at their address.
11- Returns: The products returned by customers to the merchant for various reasons (defects, change of mind, order error, etc.).
12- Processing time: The time taken by the service provider to prepare the order from the date it is received.
13- Delivery time: The duration required to deliver the order from the Logistics Service Provider's warehouse to the customer.
14- Tracking Number: The number that allows the customer and the merchant to track the shipment's status.
15- Service costs: The financial amounts that the merchant is obligated to pay to the service provider for the services provided, as defined in Annex (1) of this contract.
16- Contract duration: The period during which the parties are committed to the terms of this agreement, as specified in Article (3) of this contract.
17- Related parties: Include subsidiaries, parent companies, sister companies, as well as directors, employees, contractors, consultants, agents, and representatives.

Article (2) Subject of the Contract and Scope of Services

2- The Logistics Service Provider shall provide the merchant with the following services, detailed in Annex (1) of this contract:
3- Receipt and storage of products:
4- Receiving products from the merchant (or from its suppliers) in the designated warehouses.
5- Storing products in the warehouses according to the agreed specifications (temperature, humidity, security, etc.).
6- Managing and periodically updating the inventory, and notifying the merchant of any shortages in inventory.
7- Order fulfillment:
8- Receiving orders from the merchant via an integrated electronic system (API, control panel, or email).
9- Receiving products from the warehouse based on incoming orders.
10- Packing products securely and professionally, according to the agreed packing standards (suitable packaging materials, thank you cards, promotional inserts).
11- Attaching shipping labels and addresses to the packages.
12- Delivering packages to transportation and delivery companies.
13- Shipping and delivery:

15- Providing multiple delivery options (standard delivery, express delivery, same-day delivery, etc.).
16- Providing tracking numbers for the merchant and customer.
17- Monitoring delivery operations and resolving any issues that may arise (delays, loss, damage).
