This contract is made between the two parties whose complete details are provided in the attached contracting form, referred to herein as "the First Party" and "the Second Party," collectively referred to as "the Parties." In accordance with the provisions of the Egyptian Civil Law No. 131 of 1948, the Egyptian Labor Law No. 14 of 2025 and its executive regulations, the Personal Data Protection Law No. 151 of 2020, the Intellectual Property Rights Protection Law No. 82 of 2002, the Anti-Cyber Crimes Law No. 175 of 2018, and the applicable laws and regulations in the Arab Republic of Egypt, this agreement aims to protect confidential information, trade secrets, and intellectual property of the employer, which the employee may access while performing their work. This is achieved by defining the employee's obligations to maintain the confidentiality of such information, not to disclose it or use it for any purpose outside the scope of work, specifying the duration of these obligations, and the penalties arising from their breach, all within a framework of transparency and adherence to the highest standards of information protection and the laws governing in the Arab Republic of Egypt. The parties have agreed to the following:

Article (1) Definitions of the Agreement
1- The words and phrases listed below - wherever they appear in this agreement - shall have the meanings defined next to each, unless the context requires another meaning:
2- Agreement: refers to the employee non-disclosure agreement in all its provisions and appendices, and its preamble is considered an integral part of it.
3- Employer: the first party to this agreement, who is the natural or legal person employing the employee, and owns the confidential information, trade secrets, and intellectual property to be protected.
4- Employee: the second party to this agreement, who is the natural person working for the employer and has access to the confidential information during the course of their work.
5- Confidential Information: all information, data, documents, forms, drawings, plans, maps, recordings, images, software, codes, algorithms, inventions, discoveries, ideas, processes, methods, techniques, strategies, business plans, client or supplier lists, financial or marketing data, or any other information that is technical, commercial, financial, industrial, or administrative in nature, produced or developed or used by the employer, or disclosed to the employee in the context of the employment relationship, whether written, verbal, electronic, visual, or audible, or by any other means, whether marked as "confidential" or being inherently presumed to be confidential by its nature or the context of its disclosure.
6- Trade Secrets: information relating to production methods, manufacturing processes, formulations, chemical compositions, inventions, designs, programs, client lists, marketing strategies, or any other information that provides the employer with a competitive advantage in the market, that is not known to the public, and for which the employer makes reasonable efforts to maintain its confidentiality.
7- Intellectual Property: includes patents, trademarks, industrial designs and models, copyright and neighboring rights, trade secrets, confidential data, databases, computer programs, and any other similar rights.
8- Client Data: any data relating to the employer's clients or prospective clients, including their names, addresses, phone numbers, transaction history, needs, preferences, and any other information concerning them.
9- Employee Data: any data relating to the employer's employees, including their names, addresses, phone numbers, salaries, evaluations, and any other information concerning them.
10- Personal Data: any data related to a specific or identifiable natural person, subject to the provisions of Personal Data Protection Law No. 151 of 2020.
11- Confidentiality Period: the duration during which the employee is obligated to maintain the confidentiality of the information, as specified in Article (4) of this agreement.
12- Breach: any act or failure to act by the employee that results in the disclosure of confidential information or its unauthorized use, or violation of any of their obligations under this agreement.
13- Related Parties: includes subsidiaries, parent companies, sister companies, as well as directors, employees, contractors, consultants, agents, and representatives of the employer.

Article (2) Scope of Confidential Information and Exceptions

3- Technical information: inventions, patents, industrial models, designs, drawings, schematics, technical specifications, code (source and executable), algorithms, manufacturing formulas, production processes, operating methods, technical data, results of experiments and tests, and engineering works.
