This contract is made between the two parties whose complete details are stated in the attached contracting form, referred to herein as "the First Party" (the producer / production entity) and "the Second Party" (the director / author of the work or idea owner / provider of the artistic project), collectively referred to as "the Parties." In accordance with the provisions of the Egyptian Civil Law No. 131 of 1948, the Intellectual Property Rights Protection Law No. 82 of 2002 (especially Articles 138-178 related to copyright and related rights), the Commercial Law No. 17 of 1999, the Personal Data Protection Law No. 151 of 2020, the Law Regulating Press and Media and the Supreme Council for Media Regulation No. 180 of 2018, as well as the applicable laws and regulations in the Arab Republic of Egypt, this agreement aims to organize the artistic and cinematic production relationship between the First Party (the producer / production entity) and the Second Party (the director / author of the work or idea owner / provider of the artistic project), whereby the Second Party commits to providing their artistic and directorial vision or literary text, and the First Party commits to providing the necessary funding and logistical and technical resources to produce an audiovisual work (narrative, documentary, dramatic, or otherwise), along with defining profit-sharing ratios, intellectual property rights (both material and moral), production schedules, exhibition and distribution terms, quality guarantees, compensation and penalties conditions, all within a framework of transparency and adherence to the highest standards of the cinematic industry and the regulations in the Arab Republic of Egypt, the Parties have agreed to the following:
Article (1) Definitions of the Contract
1- The following words and phrases - wherever mentioned in this contract - shall have the meanings set forth next to each of them, unless the context of the text indicates otherwise:
2- Contract: refers to this Artistic and Cinematic Production Agreement in all its terms and appendices, and its preamble shall be considered an integral part thereof.
3- Producer / Production Entity: the first party to this contract, which is the natural or legal person (the producing company) responsible for financing the artistic work, providing the technical and human arrangements, managing the production process, bearing financial risks, and commercially exploiting the work.
4- Director / Creator of the Work: the second party to this contract, who is the artistic and directorial vision holder for the work (whether a director, author, or idea holder), responsible for the artistic supervision of the work, leading the team, and realizing the creative vision.
5- Artistic / Cinematic Work: the audiovisual project to be produced under this contract, detailed in Appendix (1) of this contract, including the type (narrative, documentary, dramatic, short, long), title, subject, characters, and directorial vision.
6- Script (Screenplay / Synopsis): the literary document that defines the dialogues, events, characters, and scenes of the work, upon which filming is built.
7- Production Stages: the essential stages of producing the artistic work, which are: Pre-production, Production, and Post-production.
8- Production Budget: the total costs allocated for producing the artistic work, specified in Appendix (2) of this contract, which includes filming costs, equipment, crew, locations, post-production, marketing, and administrative expenses.
9- Intellectual Property Rights (Material): the financial rights that enable the owner to exploit the work materially, such as rights for distribution, presentation, reproduction, translation, adaptation, and commercial exploitation by any means.
10- Intellectual Property Rights (Moral): the non-financial rights associated with the personality of the author, such as the right of attribution (crediting the work to its author), the right to object to any distortion or alteration of the work, and the right to withdraw the work from circulation (in legally specified cases).
11- Participation Shares: the percentages agreed upon by the parties for distributing the net profits of the artistic work (after deducting production, distribution, and marketing costs), as specified in Article (5) of this contract.
12- Credits: the acknowledgment of the names of those involved in the work (director, author, actors, crew) at the beginning and end of the work, and in all promotional materials.
13- Exclusivity Period: the period during which the director is obligated not to produce similar works or compete with the producer.
14- Associated Parties: includes subsidiaries, parent companies, as well as directors, employees, contractors, consultants, agents, and representatives.
