This contract is made between the two parties whose complete details are provided in the attached contracting form, referred to herein as "the first party" or "the client (the beneficiary entity)", and "the second party" or "the outsourcing company (the service provider)", collectively referred to as "the two parties". This is a Human Resources Outsourcing Agreement (Outsourcing / تعهيد) aimed at organizing the relationship for outsourcing certain services and activities related to human resources and labor between the first party (the beneficiary entity / client) and the second party (the outsourcing company / service provider). The second party shall provide the necessary technical and administrative personnel to the first party on an outsourcing basis, while maintaining the contractual relationship between the second party and the personnel, and specifying the rights and obligations of each party, in accordance with the provisions of Egyptian law. The parties have agreed to the following:
Article (1) Definitions of the Contract
1- The words and phrases listed below—wherever they appear in this contract—shall have the meanings specified next to each, unless the context of the text requires another meaning:
2- The contract: refers to this agreement in its entirety, including its terms and attachments, and its preamble shall be considered an integral part.
3- Outsourcing: a contractual system by which the second party (the outsourcing company) commits to providing labor to the first party (the client) to perform specific tasks, while the contractual relationship between the second party and the labor continues, and the responsibility for wages, social insurance, and other employer obligations lies with the second party.
4- The client: the first party to this contract, being the beneficiary of the labor services provided by the second party.
5- The outsourcing company: the second party to this contract, which is a company specialized in providing labor and services under the outsourcing system and is licensed to engage in this activity.
6- The labor: the individuals provided by the second party to work for the first party under this contract, who are under employment contracts with the second party.
7- The outsourcing fee: the financial consideration that the client is obligated to pay to the outsourcing company in return for providing labor and delivering services.
8- Place of work: the client's headquarters or any other location designated by the client for the labor to perform their tasks.
9- The supervisor: the person appointed by the client to oversee the labor, direct them, and monitor their performance.
Article (2) Subject of the Contract and Scope of Services
1- The first party (the client) assigns to the second party (the outsourcing company) - which accepts this - the task of supplying labor under the outsourcing system to perform the following works and services, which are not inherently part of the client's primary activity:

6- The second party is obligated to supply the required labor according to the agreed specifications and qualifications, and the client has the right to object to any of the proposed workers and request their replacement within a reasonable period.
7- The second party is obliged to provide a suitable replacement within days from the date of notification of the replacement, and the second party shall bear all replacement costs.
8- The client has the final authority to accept or reject any of the proposed workers.
9- The second party is obliged to train the provided labor on the required tasks when necessary, with a separate agreement on the training program and its costs.
Article (3) Duration of the Contract
1- This contract is concluded for a duration of , commencing on , and terminating on .
2- The parties may renew the contract for similar durations by explicit written agreement between them at least two months prior to the expiration of the term.
3- In the event that either party does not wish to renew, they are obliged to notify the other party in writing at least sixty days prior to the expiration of the term.
4- Either party may terminate the contract before the expiration of its term, provided that the other party is notified in writing at least days before the desired termination date.
5- The client has the right to terminate the contract immediately in the event of a breach by the outsourcing company of any of its material obligations under this contract, and if this breach is not remedied within days from the date of notification thereof.
Article (4) Obligations of the Second Party (Outsourcing Company)
