This contract is made between the two parties whose complete data is specified in the contracting form attached herewith, referred to herein as “Party One” (the brand / the advertiser) and “Party Two” (the influencer / content creator), collectively referred to as “the Parties.” This agreement is in accordance with the provisions of the Egyptian Civil Law No. 131 of 1948, Commercial Law No. 17 of 1999, Law on the Protection of Intellectual Property Rights No. 82 of 2002, Law on the Protection of Personal Data No. 151 of 2020, Law on Regulating Advertising No. 33 of 2023, Law on Regulating Electronic Commerce No. 15 of 2022, Law on Combating Cyber Crimes No. 175 of 2018, and the applicable laws and regulations in the Arab Republic of Egypt. This agreement aims to regulate the influencer marketing relationship between Party One (the brand / advertiser) and Party Two (the influencer / content creator), whereby the brand commits to appoint the influencer to promote its products or services or brand through his digital channels (social media, blogs, YouTube channels, podcasts, etc.), in exchange for an agreed fee, while maintaining creativity and quality, ensuring transparency and disclosure of the business relationship, in accordance with the highest standards of influencer marketing, while defining the rights and obligations of each party, terms for content approval, measurement and evaluation mechanisms, compensation conditions and penalties, and intellectual property protection, all within a framework of transparency and compliance with the laws governing advertising, digital marketing, and consumer protection in the Arab Republic of Egypt. The two parties agree to the following:
Article (1) Definitions of the Contract
1- The words and phrases below - wherever they appear in this contract - shall have the meanings assigned to each of them, unless the context requires a different meaning:
2- The contract: refers to this influencer marketing agreement in its entirety, including its provisions and annexes, with its preamble constituting an integral part of it.
3- The brand / advertiser: Party One in this contract, being the natural or legal person who requests the influencer to promote their products or services or brand.
4- The influencer / content creator: Party Two in this contract, being the natural person who has an online audience on social media or digital platforms and creates and publishes promotional content for the brand for a fee.
5- Promotional content: the creative materials produced by the influencer to promote the brand, including posts, videos, images, blogs, podcasts, stories, live broadcasts, and any other content agreed upon.
6- Channels: the digital platforms owned and managed by the influencer through which the promotional content is published, such as Instagram, YouTube, TikTok, Facebook, Twitter, LinkedIn, Snapchat, blogs, podcasts, etc.
7- Duration: the time period covered by this agreement, defined in Article (3) of this contract.
8- Financial compensation: the monetary or in-kind amount the advertiser is obligated to pay to the influencer, as defined in Article (5) of this contract.
9- Final approval: the advertiser's written approval of the promotional content prior to publication, which signifies their final acceptance.
10- Disclosure: the announcement of the business relationship between the influencer and the advertiser, in accordance with the applicable laws and regulations, and in compliance with the platform policies.
11- Key Performance Indicators (KPIs): the agreed-upon metrics for measuring the success of the campaign, such as views, impressions, engagement rates, clicks, conversions, and sales.
12- Associated Parties: includes subsidiaries, parent companies, sister companies, as well as directors, employees, contractors, consultants, agents, and representatives.
Article (2) Subject of the Contract and Scope of Cooperation

18- The influencer must adhere to the agreed-upon schedule and notify the advertiser of any changes at least days prior to the original date.
19- Third: Content Retention Period:
20- The promotional content shall remain published on the influencer's channels for a period of months from the date of publication, unless otherwise agreed.
21- The influencer may not delete the promotional content during this period without prior written consent from the advertiser.
