By virtue of this contract executed between the parties whose complete details are set forth in the attached contracting form, referred to herein as "the First Party" (the Seller) and "the Second Party" (the Buyer), collectively referred to as "the Parties". In accordance with the provisions of Egyptian Civil Law No. 131 of 1948 (Articles 418-438 concerning sale, and Articles 448-453 concerning installment sale), Commercial Law No. 17 of 1999, Consumer Protection Law No. 181 of 2018, Personal Data Protection Law No. 151 of 2020, and the laws and regulations in force in the Arab Republic of Egypt, this contract aims to organize the sale relationship of movable property or goods on an installment basis between the First Party (the Seller) and the Second Party (the Buyer), whereby the Seller undertakes to transfer the possession of movable property/goods to the Buyer while retaining ownership until full payment of the price and any additional interests or fees, in exchange for the Buyer's commitment to pay the value of the movable property/goods in periodic installments, with the determination of payment terms, interest calculation mechanisms, and conditions for termination in cases of delay or breach, the Seller's rights to reclaim the movable property/goods in specific cases, warranty terms, liability, indemnification, and penalties, all within a framework of transparency and adherence to the provisions of applicable laws and regulations in the Arab Republic of Egypt. The parties have agreed on the following:

Article (1) Contract Definitions
1- The words and phrases that follow - wherever they appear in this contract - shall have the meanings indicated next to each of them, unless the context of the text requires a different meaning:
2- Contract: This refers to this installment sale agreement in its entirety, including its terms and annexes, and its preamble shall be considered an integral part of it.
3- Seller: The first party to this contract, being the natural or legal person who sells the movable property/goods on an installment basis and retains ownership until full payment is made.
4- Buyer: The second party to this contract, being the natural or legal person who purchases the movable property/goods on an installment basis and is obligated to pay its value in periodic installments.
5- Movable property / Goods: The goods and tangible movable items that are the subject of the sale, detailed in Annex (1) of this contract.
6- Total price: The total amount due from the buyer, including the value of the basic movable property/goods, interest, administrative fees, and any other costs, as specified in Article (4) of this contract.
7- Cash price: The value of the basic movable property/goods (excluding interest or fees), as specified in Annex (1) of this contract.
8- Down payment: The amount paid by the buyer upon signing the contract, prior to receiving the movable property/goods, as specified in Article (4) of this contract.
9- Installments: The financial amounts that the buyer is obligated to pay periodically (monthly, quarterly, semi-annually, annually) until the full total price is paid.
10- Interest / Profits: The percentage or additional amount that the buyer is obligated to pay to the seller for the installment plan, as specified in Annex (2) of this contract.
11- Administrative fees: The financial amounts that the buyer is obligated to pay to the seller to cover the costs of managing the installment contract, as specified in Annex (2) of this contract.
12- Late penalty: The financial amount that the buyer is obligated to pay to the seller in the event of late payment of any due installment by the specified date, as specified in Article (5) of this contract.
13- Early maturity: The seller's right to demand that the buyer pay the full remaining amount in one installment, in the event that the buyer breaches their obligations.
14- Rescission: The termination of the contract by the seller, and the recovery of the movable property/goods (or their value) in the event that the buyer breaches their obligations.
15- Recovery of movable property/goods: The seller's right to regain possession of the movable property/goods from the buyer in the event of rescission, retaining the amounts paid as compensation for the use of the movable property/goods.
16- Transfer of ownership: The transfer of ownership of the movable property/goods from the seller to the buyer after the full total price is paid.
17- Warranty: The seller's commitment to the quality of the movable property/goods and their freedom from defects, as specified in Article (8) of this contract.
18- Installment period: The time allocated for paying the installments, as specified in Article (3) of this contract.
19- Related parties: This includes subsidiaries, parent companies, sister companies, as well as directors, employees, contractors, consultants, agents, and representatives.
