This contract is concluded between the two parties whose complete details are provided in the attached contracting form, referred to herein as "the First Party" (the company / investment entity) and "the Second Party" (the investor), collectively referred to as "the Parties." Under this agreement, and following the approval of the extraordinary general assembly of the company (or the board of directors as per the bylaws) to increase the issued and paid-up capital, the First Party (the company / investment entity) commits to offering and issuing new shares to the Second Party (the investor) in exchange for injecting cash capital into the company, in accordance with the terms and conditions specified in this agreement and its annexes; the purpose of this contract is to organize the investment process with the highest levels of transparency and legal accuracy to protect the rights of the investor in terms of shares, voting rights, priority in distributions, and exit mechanisms, as well as to protect the rights of the founders and existing shareholders regarding the retention of management control, preemptive rights, and company valuation mechanisms, with strict controls on risk disclosure and governance of the relationship between the investor and the management, and dispute resolution mechanisms. The two parties have agreed to the following:

1- The words and phrases below - wherever they appear in this agreement - shall have the meanings set forth alongside each, unless the context of the text requires a different meaning:

2- The Agreement: This investment agreement in its entirety along with its appendices, with its preamble considered an integral part thereof, and it serves as the primary reference in case of conflict between its texts and the texts of the appendices or the company's bylaws to the extent that it does not contradict the law.

3- The Company (Investment Entity): The first party, being the company subject to the investment process, detailed in Appendix (1), including its registration data, bylaws, capital, shareholders, and activities.

4- The Investor: The second party, being the natural or legal person who injects capital into the company, as defined in Appendix (2).

5- The Founders / Current Shareholders: The company's shareholders prior to the investment process, defined in Appendix (3), who agree to increase the capital and dilute their shares in favor of the investor.

6- Investment Amount: The amount paid by the investor to the company under this agreement, as set out in Article (2).
