Article (1) Preamble and Definitions
1- This preamble and the attached appendices constitute an integral part of this agreement and complement its provisions, and shall be read together as one complete document.
2- "This agreement" refers to this agreement and its appendices and any written amendments thereto; "the project parties" refers to the parties specified in the attached contracting template; "the party" refers to any of them; "the joint project" refers to the subject of cooperation delineated in this agreement; and "the applicable law" refers to the governing laws and regulations.
3- The headings of the articles are provided for ease of reference only and shall not be considered for interpretation; in case of ambiguity, reference shall be made to the intent of the project parties, the nature of the dealings, and the requirements of good faith.
4- The provisions of this agreement shall be interpreted integrally in a manner that achieves its purpose and does not conflict with the applicable law.

Article (2) Competence of the Parties to the Project and Their Attributes
1- Each party acknowledges that it possesses full legal capacity and authority to enter into this agreement and to fulfill its obligations arising therefrom, and that the person signing on its behalf is duly authorized to do so with proper authorization.
2- Each party acknowledges that its execution of this agreement and its performance does not violate any law, license, or contractual obligation to which it is subject, and that the information and documents it has provided are accurate and complete.
3- Each party commits to obtaining any necessary licenses and approvals to fulfill its obligations and to maintain their validity throughout the duration of this agreement.

Article (3) Subject and Scope of the Joint Venture
1- The parties agree to establish a joint venture to achieve the following purpose:  , and to define their rights and obligations in relation to it.
2- The parties to the venture undertake to implement the provisions of this article in good faith and in a manner that fulfills its purpose, without prejudice to the other provisions of this agreement.

Article (4) Duration and Effectiveness of this Agreement
1- This Agreement shall come into effect from   and shall remain in force for a duration of  .
2- This Agreement shall be renewed or terminated in accordance with its provisions, and mere continuation of execution shall not result in automatic renewal unless expressly stated in writing.

Article (5) Project Structure and Contributions of the Parties
1- The project shall be implemented contractually between the parties or through a joint entity established for this purpose as agreed upon by them.
2- Each party shall provide its contribution in funding, assets, expertise, or licenses as detailed in the annex.

Article (6) Project Governance and Decision Making
1- A steering committee shall be formed from representatives of the parties to manage and oversee the project, and its decisions shall be made with the quorum and majority agreed upon, with the majority strengthened in substantive matters.
2- The details thereof shall be specified — when necessary — in an annex that shall be an integral part of this agreement.

Article (7) Financing and Distribution of Revenues, Costs, and Profits
1- The parties shall bear the costs of the project and shall share its revenues, profits, and losses in accordance with the ratios indicated in:  .
2- The project parties shall cooperate to overcome any obstacles that may hinder the implementation of this article in a manner that serves the joint project.

Article (8) Exclusivity and Scope of Activity
1- The parties are committed to limiting the activities of the project to the agreed-upon scope, and to refraining from competing within this scope throughout its duration, in accordance with the limits permitted by law.
2- The parties to the project are obligated to implement the provisions of this article in good faith and in a manner that fulfills its purpose, without violating the remaining provisions of this agreement.

Article (9) Duration of the Project and Withdrawal
1- The project shall continue for the agreed duration, and either party may withdraw under the conditions specified, taking into account the right of first refusal for the remaining parties to acquire their share.
2- The details of this will be specified — where applicable — in an annex that is an integral part of this agreement.

Article (10) General Obligations of the Project Parties and Good Faith
1- The project parties undertake to execute this agreement in good faith, exercising due diligence and mutual cooperation to achieve the joint project in the best possible manner.
2- Each party is obliged to provide the resources, information, and support it has committed to in accordance with the agreed specifications and timelines, and to notify the other project parties immediately upon becoming aware of any obstacle affecting execution.
3- Each party shall refrain from any action or negligence that may harm the joint project or the legitimate interests of the other project parties or their reputation.
