This contract is concluded between the parties whose complete data is detailed in the attached contracting form, referred to herein as "the First Party" (the Licensor / Owner of the Know-how) and "the Second Party" (the Licensee / Beneficiary of the License), collectively referred to as "the Parties." In accordance with the provisions of the Egyptian Civil Code No. 131 of 1948, the Intellectual Property Rights Protection Law No. 82 of 2002 (particularly Articles 55-62 regarding trade secrets), the Commercial Law No. 17 of 1999, the Personal Data Protection Law No. 151 of 2020, and the competition laws and regulations in force in the Arab Republic of Egypt, this agreement aims to organize the relationship of licensing Know-how between the First Party (the Licensor / Owner of the Know-how) and the Second Party (the Licensee / Beneficiary of the License), whereby the Licensor commits to transfer unregistered technical and technological know-how (expertise, trade secrets, processes, methods, formulas, designs, data, and any valuable technical information) to the Licensee for exploitation within a specified scope (products, services, geographical area, and time period), in exchange for agreed licensing fees and royalties, while maintaining the confidentiality of the Know-how, defining the obligations of the Licensee regarding non-disclosure and non-competition, and outlining the technology transfer and training mechanisms, conditions for compensation and penalties, and rights for termination and dissolution, all within a framework of transparency and commitment to the highest standards for protecting trade secrets and the governing laws in the Arab Republic of Egypt. The parties have agreed as follows:

Article (1) Definitions of the Contract
1- The following words and phrases - wherever they appear in this agreement - shall have the meanings set forth next to each, unless the context of the text indicates otherwise:
2- The contract: refers to this License Agreement for Know-how in all its provisions and annexes, and its preamble shall be considered an integral part thereof.
3- The licensor / owner of the know-how: the first party to this contract, who is the legal owner of the unregistered technical and commercial know-how, and is authorized to grant licenses for its transfer and utilization by others.
4- The licensee: the second party to this contract, who is the natural or legal person obtaining a license to receive and utilize the know-how.
5- Know-how: a collection of unregistered technical and practical information (trade secrets, expertise, processes, manufacturing methods, formulas, designs, data, software, techniques, plans, specifications, and any other commercially valuable information) owned by the licensor, which gives the licensee a competitive advantage, detailed specifically in Annex (1) of this contract.
6- Technical documents: all documents, drawings, diagrams, brochures, specifications, material lists, software, and manuals that contain or explain the know-how.
7- Licensed products/processes: the products or processes or services for which the licensee is allowed to use the know-how, specified in Article (2) of this contract.
8- Scope of the license: the geographic area and defined technical field for the use of the know-how, specified in Annex (2) of this contract.
9- Term of the license: the period during which the license is granted, as specified in Article (3) of this contract.
10- License fees: the financial amount that the licensee is obligated to pay the licensor for the license and transfer of know-how, as specified in Article (5) of this contract.
11- Royalties: the percentage of the net sales of the licensed products or processes due to the licensor, as specified in Article (5) of this contract.
12- Transfer of knowledge: the process of transferring the know-how from the licensor to the licensee, including the delivery of technical documents, training, technical support, consultations, and supervision of initial application.
13- Knowledge transfer period: the timeline allocated for transferring the know-how from the licensor to the licensee, as specified in Annex (3) of this contract.
14- Sub-license: granting the licensee a license to a third party to use the know-how.
15- Exclusivity: the exclusive right of the licensee to use the know-how within the defined scope of the license, such that the licensor shall not transfer or license the know-how to other parties in the same scope during the term of the license.
16- Confidentiality: the licensee's obligation not to disclose the know-how or any confidential information related to it to any third party, whether during the term of the contract or after its expiration.
17- Non-competition: the licensee's obligation not to use the know-how to compete with the licensor or to develop competing products or services, during the term of the contract and for a specified period thereafter.
18- Related parties: includes subsidiaries, parent companies, sister companies, as well as directors, employees, contractors, consultants, agents, and representatives.
