This contract is made between the parties whose complete details are provided in the attached contracting form, hereinafter referred to as "Party One" (the service provider for installation and operation) and "Party Two" (the client), collectively referred to as "the Parties." According to the provisions of the Egyptian Civil Law No. 131 of 1948, the Commercial Law No. 17 of 1999, the Personal Data Protection Law No. 151 of 2020, the E-Commerce Regulation Law No. 15 of 2022, the Anti-Cyber Crimes Law No. 175 of 2018, and the applicable laws and regulations in the Arab Republic of Egypt, this contract aims to organize the relationship of installation and operation of network infrastructure between Party One (the service provider for installation and operation) and Party Two (the client), whereby the service provider is obligated to supply, install, operate, and test the network infrastructure (cables, network devices, software, management systems, etc.) for the client, in accordance with the agreed specifications and plans, with a guarantee of quality execution, provision of technical support, training of the client's team, and receipt of the works in accordance with the specified acceptance criteria, in exchange for an agreed fee, with the determination of timelines, quality guarantees, confidentiality conditions, compensation and penalties terms, and rights of termination, all within a framework of transparency and adherence to the highest standards of network installation and the governing laws in the Arab Republic of Egypt. The parties have agreed on the following:

Article (1) Definitions of the Contract
1- The terms and expressions listed below - wherever they appear in this contract - shall have the meanings set forth beside each of them, unless the context of the text requires a different meaning:
2- The Contract: refers to this Network Installation Agreement in its entirety, including all its terms and appendices, with its preamble considered an integral part thereof.
3- The Service Provider: the first party to this contract, being the natural or legal person specialized in the installation and operation of network infrastructure, equipped with the necessary technical personnel and equipment.
4- The Client: the second party to this contract, being the owner of the building or facility or the person responsible for it, who requests the installation of networks.
5- The Network: the network infrastructure to be installed and operated under this contract, including cables (copper and fiber optic), networking devices (switches, routers, wireless access points, firewalls), software, management systems, and other components, detailed in Appendix (1) of this contract.
6- The Schematics: the drawings and engineering and implementation plans for the network, including cable distribution diagrams, device locations, network connections, as detailed in Appendix (2) of this contract.
7- The Technical Specifications: the specifications and technical standards for the equipment, materials, and installations, as detailed in Appendix (3) of this contract.
8- The Cables: copper cables (UTP, FTP, STP) and optical cables (fiber optic) used in network installation, of all types and lengths.
9- The Network Devices: the active equipment of the network, including switches, routers, wireless access points, firewalls, controllers, PoE injectors, and others.
10- The Software: the programs, systems, and applications necessary for the operation and management of the network, including operating systems, network management software, and security programs.
11- The Installation: the process of supplying, installing, operating, and testing all network components in accordance with the agreed schematics and specifications.
12- The Testing: the process of testing all network components to ensure their proper functioning according to the specified specifications and standards.
13- The Acceptance Criteria: the criteria and requirements that the network must meet in order to be accepted by the Client, as detailed in Appendix (4) of this contract.
14- The Warranty Period: the duration during which the Service Provider guarantees the quality of the works and equipment, as specified in Article (7) of this contract.
15- The Implementation Period: the duration allocated for the installation of the network, as specified in Article (3) of this contract.
16- The Service Fee: the monetary amount that the Client is obliged to pay to the Service Provider for installation works, as specified in Article (5) of this contract.
17- Related Parties: including subsidiaries, parent companies, sister companies, as well as directors, employees, contractors, consultants, agents, and representatives.
