This contract is executed between the two parties whose complete details are provided in the attached contracting form, referred to herein as "the First Party" and "the Second Party," collectively referred to as "the Two Parties." In accordance with the provisions of the Egyptian Civil Code No. 131 of 1948, the Egyptian Labor Law No. 14 of 2025 and its executive regulations, the Personal Data Protection Law No. 151 of 2020, the Intellectual Property Rights Protection Law No. 82 of 2002, the Anti-Information Technology Crimes Law No. 175 of 2018, and the laws and regulations in force in the Arab Republic of Egypt, this agreement aims to protect the legitimate commercial interests of the employer by preventing the employee from soliciting the employer's clients, employees, or suppliers during and after the employment period, in order to maintain the commercial relationships established by the employer, the investments made in building the client base and team, and the commercial reputation acquired in the market, while considering the balance between the employer's right to protect its interests and the employee's right to engage in professional activities, within a framework of transparency and adherence to the provisions of the Egyptian Civil Code and the regulating laws, which permit an agreement on non-solicitation in accordance with the specified conditions and controls, noting that the non-solicitation condition must be specific in terms of time, place, and type of activity, and shall not exceed the legally permissible duration, and the parties have agreed to the following:

Article (1) Definitions of the Agreement
1- The words and phrases listed below - wherever they appear in this agreement - shall have the meanings defined next to each of them, unless the context of the text requires a different meaning:
2- Agreement: Refers to this non-solicitation agreement of the employee in its entirety, including its provisions and annexes, with its preamble being an integral part of it.
3- Employer: The first party to this agreement, referring to the natural or legal person who employs the employee and engages in a commercial or professional activity who seeks to protect their business relationships from unlawful solicitation.
4- Employee: The second party to this agreement, referring to the natural person who works for the employer and is privy to the employer's commercial relationships with their clients, employees, and suppliers.
5- Client: Any natural or legal person who deals with the employer, or has dealt with them during a specific time period, and purchases or uses the employer's products or services.
6- Potential Client: Any natural or legal person with whom the employer has been in negotiations, or made offers to, or had a reasonable opportunity to contract during a specific time period.
7- Other Employee: Any employee of the employer, or who was an employee during a specific time period, regardless of their position or job level.
8- Supplier: Any natural or legal person who provides the employer with products, materials, or services, or who has provided them during a specific time period.
9- Non-solicitation Period: The time period during which the employee agrees not to solicit clients, employees, or suppliers following the termination of the employment relationship, as specified in Article (4) of this agreement.
10- Solicitation: Any act or attempt by the employee aimed at attracting, enticing, or inducing any of the employer's clients, employees, or suppliers to contract with the employee or with any third party, or to cease dealing with the employer.
11- Compensation for Non-solicitation: The financial amount that the employer agrees to pay to the employee in return for their commitment not to solicit after the termination of the employment relationship, as specified in Article (5) of this agreement.
12- Breach: Any act or omission by the employee that results in a violation of their obligations under this agreement, including solicitation of clients, employees, or suppliers, or attempts to do so.
13- Associated Parties: Including subsidiaries, parent companies, sister companies, as well as directors, employees, contractors, consultants, agents, and representatives of the employer.

Article (2) Scope of Non-Solicitation Obligation
1- First: Scope of Protection:
2- The employee commits, during the term of this agreement and after its expiration, not to solicit any of the following parties affiliated with the employer:
3- Clients: All clients of the employer (current and potential) who the employer has dealt with or negotiated with during the   months preceding the termination of the employment relationship.
4- Employees: All employees of the employer (current and former) who were employed during the   months preceding the termination of the employment relationship, regardless of their position or job level.
5- Suppliers: All suppliers of the employer (current and potential) who the employer has dealt with or negotiated with during the   months preceding the termination of the employment relationship.
6- Second: Scope of Prohibited Solicitation:
7- The employee is prohibited from performing any of the following actions, whether directly or indirectly:
8- Communicating with any clients of the employer (current or potential) for the purpose of offering similar or competing products or services to those provided by the employer.
9- Soliciting or attempting to solicit any clients of the employer to contract with the employee or any other party, whether through offering better deals or by any other means.
