This contract is made between the two parties whose complete details are indicated in the attached contracting form, referred to herein as “Party One” (Payment Gateway / Payment Service Provider) and “Party Two” (Merchant / Owner of the Online Store), collectively referred to as “the Parties”. In accordance with the provisions of the Egyptian Civil Code No. 131 of 1948, the Commercial Law No. 17 of 1999, the Central Bank and Banking Sector Law No. 194 of 2020, the Personal Data Protection Law No. 151 of 2020, the Electronic Commerce Law No. 15 of 2022, the Anti-Cyber Crime Law No. 175 of 2018, and the laws and regulations in force in the Arab Republic of Egypt, this agreement aims to organize the relationship of electronic payment services between Party One (Payment Gateway / Payment Service Provider) and Party Two (Merchant / Owner of the Online Store). The Payment Gateway commits to providing services for accepting and transferring electronic payments for the merchant, including processing credit card payments, electronic wallets, bank transfers, and other electronic payment methods, in exchange for mutually agreed fees and commissions, while defining the rights and obligations of each party, security conditions, settlement mechanisms, anti-fraud policies, data protection, compensation and penalty conditions, all within a framework of transparency and compliance with the laws and regulations governing financial services and electronic payment, and the instructions of the Central Bank of Egypt in this regard. The parties have agreed as follows:

The words and phrases hereinafter - wherever mentioned in this Agreement - shall have the meanings set forth beside each, unless the context of the text requires a different meaning:

The Agreement: refers to the Merchant Agreement with this Payment Gateway in its entirety, including its terms and appendices. The preamble shall be considered an integral part thereof.

Payment Gateway / Payment Service Provider: the first party in this Agreement, which is the company licensed by the Central Bank of Egypt to provide electronic payment services, and that operates the electronic payment system.

The Merchant: the second party in this Agreement, which is the natural or legal person that sells products or services online and uses the services of the Payment Gateway to receive payments from its customers.

The Online Store: the website or application or any other digital channel owned by the Merchant through which its products or services are displayed for sale.

The Payment Transaction: the process of transferring funds from the buyer (cardholder or e-wallet owner) to the Merchant, through the Payment Gateway, in exchange for a product or service.

The Total Amount: the total value of the payment transaction, including the value of the product or service and any additional charges (such as shipping fees, taxes).
