This contract is concluded between the two parties whose full data is specified in the attached contracting form, referred to herein as "the First Party" (the Photographer / Photography Company) and "the Second Party" (the Client / Beneficiary of the Service), collectively referred to as "the Parties". In accordance with the provisions of the Egyptian Civil Law No. 131 of 1948, the Intellectual Property Rights Protection Law No. 82 of 2002 (particularly Articles 138-178 concerning copyright and related rights), the Commercial Law No. 17 of 1999, the Personal Data Protection Law No. 151 of 2020, and the applicable privacy laws and regulations in the Arab Republic of Egypt, this agreement aims to regulate the relationship of photography and video between the First Party (the Photographer / Photography Company) and the Second Party (the Client / Beneficiary of the Service), where the Photographer commits to providing photography or video services according to the agreed specifications (Photography, Video, Production, Direction, Editing, Digital Processing), in exchange for an agreed fee, with stipulating the intellectual property rights of the produced images and videos (Rights of Use, Publication, Distribution, Modification), delivery conditions, number of photos or duration of the video, quality standards, delivery dates, privacy of clients and individuals being photographed, written consents, compensation conditions and penalties, all within a framework of transparency and adherence to the highest standards of the creative industry and the governing laws in the Arab Republic of Egypt. The parties have agreed on the following:

Article (1) Definitions of the Contract
1- The terms and phrases listed below - wherever they appear in this agreement - shall have the meanings assigned to them, unless the context of the text requires a different meaning:
2- The Contract: Refers to this photography and videography agreement in its entirety, including all its terms and appendices, with its preamble being an integral part thereof.
3- The Photographer: The first party to this contract, being the natural or legal person (photographer, videographer, production company) that provides photography services and holds the intellectual rights to the produced materials (unless otherwise agreed).
4- The Client: The second party to this contract, being the natural or legal person that requests photography services and benefits from the produced materials.
5- The Services: The photography and videography services provided by the Photographer to the Client, detailed in Appendix (1) of this contract, including the type of photography (still, video, production, editing, digital processing), duration, location, and the number of photos or video length.
6- The Materials: Photographs, videos, raw files, processed materials, designs, graphics, and all outputs generated by the Photographer under this contract.
7- Raw Files: The unprocessed raw files that come from the camera, retaining all original image data.
8- Edited Files: The photographs and videos after being digitally processed (color adjustment, quality enhancement, defect removal, effects addition, editing).
9- Final Delivery: The process of delivering the final materials to the Client in the agreed formats and quality.
10- Usage Rights: The rights granted to the Client to use the produced materials (publishing, displaying, distributing, advertising, modifying), as specified in Article (5) of this contract.
11- Written Consent (Release Form): A document signed by individuals being photographed, granting the Photographer and the Client the right to use their images or appearances in the produced materials.
12- Privacy: The Photographer's obligation not to disclose any information or materials related to the Client or the individuals being photographed, except with their written consent.
13- Archive of Materials: The right of the Photographer to retain copies of the materials for archival or marketing purposes (in the portfolio), while preserving the rights and privacy of the Client.
14- Associated Parties: Includes subsidiaries, parent companies, sister companies, as well as directors, employees, contractors, consultants, agents, and representatives.
