This contract is concluded between the two parties whose full details are provided in the attached contracting form, referred to herein as "the First Party" (Podcast Producer / Idea Owner) and "the Second Party" (Production Entity / Platform / Advertiser / Sponsor), collectively referred to as "the Parties." In accordance with the provisions of the Egyptian Civil Law No. 131 for the year 1948, the Commercial Law No. 17 for the year 1999, the Intellectual Property Rights Protection Law No. 82 for the year 2002 (particularly Articles 138-178 concerning copyright and related rights), the Personal Data Protection Law No. 151 for the year 2020, the Press and Media Regulation Law No. 180 for the year 2018, and all relevant laws and regulations in the Arab Republic of Egypt, this agreement aims to organize the relationship of production and distribution of the podcast between the First Party (Podcast Producer / Idea Owner) and the Second Party (Production Entity / Platform / Advertiser / Sponsor), whereby the Podcast Producer commits to producing podcast episodes according to a specified artistic vision, including preparation, recording, editing, audio direction, content production, and distribution of episodes on broadcasting platforms (Spotify, Apple Podcasts, Google Podcasts, and others), in exchange for an agreed fee or a share of the revenues (advertisements, sponsorships), with the delineation of intellectual property rights of the produced episodes, distribution rights, commercial exploitation rights, credit rights for the team, and terms of compensation and penalties, all within a framework of transparency and adherence to the highest standards of the media industry and applicable laws in the Arab Republic of Egypt. The Parties have agreed to the following:

Article (1) Definitions of the Contract
1- The words and phrases listed below - wherever mentioned in this agreement - shall have the meanings specified next to each, unless the context of the text requires a different meaning:
2- Contract: refers to this podcast production agreement in its entirety, including its provisions and annexes, and its preamble shall be an integral part thereof.
3- Podcast Producer / Idea Owner: the first party to this contract, being the natural or legal person who owns the podcast idea, oversees its production, provides the content (as presenter or editor), and manages the production process.
4- Production Entity / Platform / Sponsor: the second party to this contract, being the natural or legal person (production company, broadcasting platform, advertiser, sponsor) who funds, distributes, or hosts the podcast, and benefits from distribution, advertising, or sponsorship rights.
5- Podcast: the audio series (or visual) produced under this contract, specifically detailed in Annex (1) of this contract, including the name, subject matter, number of episodes, duration, and guests.
6- Episodes: the individual units of the podcast, produced and distributed periodically (weekly, monthly, etc.).
7- Content: the produced audio (or visual) materials, including dialogues, interviews, soundtracks, sound effects, introductions, endings, and any other content.
8- Distribution Platforms: the digital platforms through which the podcast is broadcasted (Spotify, Apple Podcasts, Google Podcasts, SoundCloud, etc.).
9- Revenues: all financial amounts generated from the podcast, including advertising revenues, sponsorships, subscriptions, donations, and any other sources of income.
10- Net Revenues: total revenues minus direct costs (production costs, distribution fees, platform commissions, taxes).
11- Share Percentage: the percentage of net revenues entitled to the podcast producer (or production entity) according to the agreement.
12- Intellectual Property Rights: copyright for the podcast and its episodes, including audio content, name, logo, design, and music.
13- Contract Duration: the period during which both parties are committed to the provisions of this agreement, as specified in Article (3) of this contract.
14- Credits: the obligation of the production entity or platform to list the names of the team members (the presenter, editor, producer) in the episode descriptions and in promotional materials.
15- Related Parties: includes subsidiaries, parent companies, sister companies, as well as directors, employees, contractors, consultants, agents, and representatives.
