By this contract executed between the two parties whose complete details are illustrated in the attached contracting form, referred to herein as "the First Party" (the Buyer) and "the Second Party" (the Seller), collectively referred to as "the Parties." In accordance with the provisions of the Egyptian Civil Law No. 131 of 1948 (Articles 418-438 pertaining to Sale), Commercial Law No. 17 of 1999, the Consumer Protection Law No. 181 of 2018, the Personal Data Protection Law No. 151 of 2020, and the prevailing laws and regulations in the Arab Republic of Egypt, this contract aims to organize the relationship of purchasing goods, materials, and products between the First Party (the Buyer) and the Second Party (the Seller), whereby the Seller commits to sell and deliver specified goods or materials or products to the Buyer, in exchange for an agreed cash price, with stipulation of delivery terms, guarantees, payment conditions, liability, terms of indemnity and penalties, and rights of rescission and termination, all within a framework of transparency and adherence to the highest standards of commercial contracts and the governing laws in the Arab Republic of Egypt. The two parties have agreed to the following:

Article (1) Definitions of the Contract
1- The following words and phrases – wherever they appear in this contract – shall have the meanings set forth alongside each of them, unless the context requires a different meaning:
2- Contract: Refers to this purchase agreement in its entirety, along with its terms and appendices, with the introduction constituting an integral part thereof.
3- Buyer: The first party in this contract, who is the natural or legal person purchasing goods or materials or products from the seller.
4- Seller: The second party in this contract, who is the natural or legal person selling goods or materials or products to the buyer.
5- Goods / Materials / Products: The tangible items subject to purchase, detailed in Appendix (1) of this contract, including specifications, quality, quantities, trademarks, and any other attributes.
6- Technical Specifications: The standards, measurements, quality, and characteristics that must be present in the goods/materials/products, specified in Appendix (2) of this contract.
7- Price: The monetary amount that the buyer is obligated to pay to the seller in exchange for the goods/materials/products, as specified in Article (4) of this contract.
8- Delivery: The process of transferring the possession of the goods/materials/products from the seller to the buyer, at the time and place designated in this contract.
9- Acceptance: The process by which the buyer accepts the goods/materials/products after inspecting them and confirming their compliance with the specifications.
10- Warranty: The seller's obligation regarding the quality of the goods/materials/products and their freedom from defects, as specified in Article (7) of this contract.
11- Risks of Damage or Loss: The assumption of risks associated with the damage or loss of the goods/materials/products, in accordance with the conditions specified in this contract.
12- Delivery Period: The time allocated for the delivery of the goods/materials/products, as specified in Article (3) of this contract.
13- Related Parties: Includes subsidiaries, parent companies, affiliated companies, as well as directors, employees, contractors, consultants, agents, and representatives.

11- The Seller is obligated to package the goods/materials/products securely and appropriately, ensuring their protection from damage during transportation and storage, in accordance with the standards agreed upon in Annex (3) of this contract.

14- The Seller is obligated to deliver to the Buyer the following documents with the goods/materials/products:

21- Any other documents agreed upon.

Article (3) Duration of the Contract and Delivery Period
