This contract is made between the two parties whose complete details are specified in the attached contracting form, and they shall be referred to herein as "the First Party" (the Seller) and "the Second Party" (the Buyer), collectively referred to as "the Parties". According to the provisions of the Egyptian Civil Code No. 131 of 1948 (Articles 418-438 regarding sales), the Commercial Law No. 17 of 1999, the Personal Data Protection Law No. 151 of 2020, and the laws and regulations in force in the Arab Republic of Egypt, this contract aims to regulate the sale and purchase of movable assets or goods between the First Party (the Seller) and the Second Party (the Buyer), whereby the Seller undertakes to transfer the ownership of specified movable assets or goods to the Buyer in exchange for an agreed cash price, with the terms of delivery, transfer of ownership, guarantees, payment terms, liability, compensation conditions and penalties, and the rights to rescission and termination, all within a framework of transparency and adherence to the highest standards of commercial contracts and applicable laws in the Arab Republic of Egypt. The parties have agreed to the following:

Article (1) Definitions of the Contract
1- The words and phrases set forth below - wherever used in this contract - shall have the meanings specified next to each of them, unless the context of the text requires a different meaning:
2- The Contract: refers to this Agreement for the sale of movable property/goods in its entirety, including its terms and annexes, with its preamble considered an integral part thereof.
3- The Seller: the first party to this contract, being the natural or legal person who sells the movable property or goods and transfers ownership to the Buyer.
4- The Buyer: the second party to this contract, being the natural or legal person who purchases the movable property or goods and pays the agreed consideration.
5- Movable Property / Goods: the goods and tangible movable items subject to sale, specifically detailed in Annex (1) of this contract, including quantity, specifications, quality, trademarks, and any other characteristics.
6- The Price: the monetary amount the Buyer is obligated to pay to the Seller in exchange for the movable property/goods, as specified in Article (5) of this contract.
7- Delivery: the process of transferring possession of the movable property/goods from the Seller to the Buyer, at the time and place specified in this contract.
8- Receipt: the process by which the Buyer accepts the movable property/goods after inspecting them and ensuring they meet the specifications.
9- Transfer of Ownership: the transfer of ownership of the movable property/goods from the Seller to the Buyer, in accordance with the conditions specified in this contract.
10- Warranty: the Seller's commitment to the quality of the movable property/goods and their freedom from defects, as specified in Article (8) of this contract.
11- Risk of Damage or Loss: the bearing of risks related to damage or loss of the movable property/goods, in accordance with the conditions specified in this contract.
12- Delivery Period: the time frame allocated for the delivery of the movable property/goods, as specified in Article (4) of this contract.
13- Associated Parties: includes subsidiaries, parent companies, sister companies, as well as directors, employees, contractors, consultants, agents, and representatives.

12- The seller is obligated to pack and package the movables/goods securely and appropriately, ensuring protection from damage during transportation and storage, in accordance with the standards agreed upon in Annex (2) of this contract.
13- The packing and packaging include: the materials used, labels, tags, and handling instructions.

15- The seller is obliged to deliver the buyer the following documents along with the movables/goods:
16- The original sales invoice.
17- Certificate of origin (if any).
18- Certificate of quality or conformity (if any).
19- User or installation manual (if any).
20- Warranty card (if any).
21- Any other documents agreed upon.

Article (3) Contract Duration and Delivery Period
