This contract is made between the parties whose complete data is detailed in the attached contracting form, referred to herein as "Party One" and "Party Two", collectively referred to as "the Parties". In accordance with the provisions of the Egyptian Civil Law No. 131 of 1948 (Articles 418-438 concerning sale, Articles 448-453 concerning installment sales, and Article 468 concerning retention of title), the Commercial Law No. 17 of 1999, the Consumer Protection Law No. 181 of 2018, the Personal Data Protection Law No. 151 of 2020, and the applicable laws and regulations in the Arab Republic of Egypt, this contract aims to regulate the sale relationship of movable goods or merchandise with the seller retaining ownership until full payment is made. The seller is obligated to transfer possession of the movable goods/merchandise to the buyer while retaining ownership and has the right to recover them in the event of non-payment. This includes specifying the terms of delivery, guarantees, payment conditions, liabilities, the seller's rights to recover the movable goods/merchandise, compensation conditions and penalties, and the rights of rescission and termination, all within a framework of transparency and adherence to the highest standards of commercial contracts and applicable laws in the Arab Republic of Egypt, particularly the provisions of retention of title stipulated in the Egyptian Civil Law, which aims to protect the seller from the risks of non-payment. The parties have agreed to the following:

Article (1) Definitions of the Contract
1- The terms and phrases set forth below - wherever they appear in this contract - shall have the meanings assigned to each, unless the context of the text requires another meaning:
2- Contract: Refers to the sale agreement with retention of ownership, including all its provisions and annexes, and its preamble constitutes an integral part thereof.
3- Seller: The first party to this contract, who is the natural or legal person selling the movable assets/goods, retaining ownership until full payment is made, and has the right to recover them in case of non-payment.
4- Buyer: The second party to this contract, who is the natural or legal person purchasing the movable assets/goods, obligated to pay the price, and responsible for preserving the movable assets/goods until ownership is transferred.
5- Movable assets / goods: The tangible movable items subject to sale, specifically detailed in Annex (1) of this contract.
6- Price: The monetary amount that the buyer is obliged to pay to the seller in exchange for the movable assets/goods, specified in Article (4) of this contract.
7- Possession: The buyer's right to receive the movable assets/goods and to use and benefit from them, while ownership remains with the seller.
8- Ownership: The seller's right in the movable assets/goods, which remains in effect until full payment of the price, granting the seller the right to recover them in case of non-payment.
9- Retention of Ownership: A legal condition under which the seller remains the owner of the movable assets/goods until full payment of the price is made, and this condition is considered effective against third parties according to the provisions of Egyptian civil law.
10- Recovery: The seller's right to reclaim possession of the movable assets/goods from the buyer in case of non-payment of the price on the due date, or in case of the buyer’s breach of any of their essential obligations.
11- Delivery: The process of transferring possession of the movable assets/goods from the seller to the buyer, with ownership remaining with the seller.
12- Acceptance: The process of the buyer's acceptance of the movable assets/goods after inspecting them and ensuring they conform to the specifications.
13- Warranty: The seller's obligation regarding the quality of the movable assets/goods and the absence of defects, as specified in Article (8) of this contract.
14- Risks of Damage or Loss: The risk related to the damage or loss of the movable assets/goods, which transfer to the buyer immediately upon delivery, even if ownership remains with the seller.
15- Delivery Period: The time span allocated for delivering the movable assets/goods, as specified in Article (3) of this contract.
16- Related Parties: Includes subsidiaries, parent companies, sister companies, as well as directors, employees, contractors, consultants, agents, and representatives.
