This contract is made between the two parties whose complete information is specified in the attached contracting form, referred to herein as "the First Party" (the Author / Writer) and "the Second Party" (the Producer or Commissioning Party / Operator), collectively referred to as "the Parties". In accordance with the provisions of the Egyptian Civil Code No. 131 of 1948, the Intellectual Property Rights Protection Law No. 82 of 2002 (particularly Articles 138-178 concerning copyright and neighboring rights), the Commercial Law No. 17 of 1999, the Personal Data Protection Law No. 151 of 2020, and the applicable laws and regulations in the Arab Republic of Egypt, this agreement aims to regulate the relationship of written and dramatic authorship between the First Party (the Author / Writer) and the Second Party (the Producer or Commissioning Party / Operator), whereby the Author commits to provide a literary work (screenplay, dramatic treatment, episodes of a series, or theatrical text) according to a specific artistic vision, and the Producer undertakes to pay the authorship fee, provide the option for production, while maintaining the moral rights of the Author (the right of attribution and the right to object to distortion), and determining the profit-sharing percentages resulting from the exploitation of the work, all within a framework of transparency and adherence to the highest standards of the creative industry and the governing laws in the Arab Republic of Egypt. The Parties have agreed as follows:

Article (1) Contract Definitions
1- The words and phrases listed below - wherever they appear in this contract - shall have the meanings indicated next to each of them, unless the context requires another meaning:
2- Contract: Refers to this agreement regarding authorship and screenplay, along with all its clauses and appendices, with its preamble constituting an integral part thereof.
3- Author / Writer: The first party to this contract, being the natural person who authors and writes the literary or dramatic work (screenplay, treatment, dialogue, characters) in its final form, and is the original holder of the moral rights to the work.
4- Producer / Commissioning Party: The second party to this contract, being the natural or legal person who commissions the author to write the work, or purchases the rights to exploit it, and undertakes the financing of production (if any) and the commercial exploitation of the work.
5- Literary Work / Screenplay: The written text authored by the author, detailed in Appendix (1) of this contract, including the type (film screenplay, series episodes, stage play, dramatic treatment), the title, subject, characters, dialogue, events, and dramatic structure.
6- Treatment: The preliminary document that presents the idea of the work, the characters, the outlines of the events, and the overall vision, prior to writing the full screenplay.
7- Synopsis: A brief summary of the story and main characters, used for marketing and pitching purposes.
8- Episodes: In the case of serialized works, the number of episodes agreed upon to be written, as specified in Appendix (1).
9- Moral Rights: The non-financial rights associated with the personality of the author, which do not lapse over time and cannot be waived, including: the right to attribution of the work to the author (right of attribution), the right to oppose any distortion, alteration, or substantial modification of the work without their consent, and the right to withdraw the work from circulation (in the legally specified cases) in accordance with Article (143) of the Intellectual Property Law.
10- Economic Rights: The financial rights to exploit the work, which include the right to adapt to audiovisual works, reproduction, distribution, presentation, translation, adaptation, derivative production, and exploitation on all platforms (theatrical release, television, OTT digital streaming platforms, the internet, and other media), which are assigned to the producer under this contract.
11- Option: The right granted to the producer (for a specified period) to purchase the rights to exploit the work from the author, in exchange for an Option Fee, without obligation for immediate production.
12- Option Fee: The amount paid to the author in consideration for granting the producer the right to an option to purchase, which will be deducted later from the author's fee or shared in profits.
13- Author's Fee: The financial amount that the producer is obliged to pay to the author for writing and authoring the work, as specified in Article (4) of this contract.
14- Profit Participation Shares (Backend): The percentages granted to the author from the net profits of the work after its production and commercial exploitation.
15- Credit Rights: The obligation of the producer to place the author's name at the beginning and end of the work, and in all promotional materials, in the size and order agreed upon.
16- Related Parties: Including subsidiaries, parent companies, as well as directors, employees, contractors, consultants, agents, and representatives.
