This contract is made between the parties whose full details are provided in the attached contracting form, referred to herein as “Party One” and “Party Two,” collectively referred to as “the Parties.” In accordance with the provisions of the Egyptian Civil Law No. 131 of 1948 (Articles 410-426 concerning the contract of barter), the Commercial Law No. 17 of 1999, the Law on the Protection of Intellectual Property Rights No. 82 of 2002, the Law on the Protection of Personal Data No. 151 of 2020, and the applicable laws and regulations in the Arab Republic of Egypt, this agreement aims to regulate the process of barter of services between the Parties, whereby each Party commits to providing specific services to the other Party, in exchange for receiving similar or different services from the other Party, without any cash amounts being exchanged between them, but rather the value of each service is determined on a rough basis to establish balance in the barter, according to the provisions of the Egyptian Civil Law that govern the barter contract and render it a binding contract for both Parties, ensuring the protection of each Party’s rights, and regulating the aspects of exchange and compensation in the event of breach of obligations. The Parties have agreed to the following:
Article (1) Definitions of the Contract
1- The terms and phrases listed below - wherever mentioned in this contract - shall have the meanings assigned to each of them, unless the context of the text requires a different meaning:
2- The contract: refers to this service exchange agreement in its entirety, including its terms and annexes, with the preamble considered an integral part thereof.
3- The parties: includes the first party and the second party in this agreement, each of whom provides services to the other.
4- First party services: the services that the first party is obligated to provide to the second party under this contract, as specified in Article (2) of this contract.
5- Second party services: the services that the second party is obligated to provide to the first party under this contract, as specified in Article (2) of this contract.
6- Exchange: a system of service exchange between the two parties, where services are exchanged without using money, and the value of each service is determined to ensure the balance of the transaction.
7- Estimated value of services: the approximate financial value of each service, as agreed upon to determine the balance of the exchange, and for tax and accounting purposes, as specified in Annex (1) of this contract.
8- Duration of the exchange: the time period during which services are exchanged, as specified in Article (3) of this contract.
9- Timeline: the specific schedule for providing services, as specified in Annex (2) of this contract.
10- Intellectual property: includes patents, trademarks, industrial designs and models, copyright and related rights, trade secrets, confidential information, databases, computer programs, and any similar rights.
11- Related parties: includes subsidiaries, parent companies, sister companies, as well as directors, employees, contractors, consultants, agents, and representatives.

Article (3) Duration of the Contract and Schedule for Exchange
