By virtue of this contract, the owner, whose complete data is indicated in the attached contracting form, and after acknowledging his full legal capacity to contract and commit, hereby establishes a sole proprietorship company in accordance with the following terms and conditions, and in a manner that does not violate the applicable law:

Article (1) Preamble and Definitions

1- The term "Company" refers to the entity established under this contract; and the term "Owner" refers to the shareholders in its capital; and the term "Owner's Decisions" refers to the body responsible for making collective decisions in the company; and the term "Management" refers to those who manage the company in accordance with this contract; and the term "Applicable Law" refers to the laws, regulations, and rules governing companies and the conduct of business.

2- The term "Distributable Net Profits" refers to the profits remaining after deducting expenses, depreciations, provisions, and the allocation of prescribed reserves; and the term "Special Majority" refers to the enhanced ratio required by this contract or law for certain decisions.

3- The above preamble and the attached annexes constitute an integral part of this contract and complement its provisions, and they are to be read together as a single, comprehensive document.

4- The headings of the articles have been placed solely for ease of reference and shall not be relied upon for the interpretation of the provisions or the determination of their scope. In case of ambiguity, the intent of the parties and the nature of the activity and the requirements of good faith shall be referred to.

Article (2) Eligibility of the Contractors and Validity of Incorporation

1- The owner acknowledges their full legal capacity necessary for contracting, establishing the company, and adhering to the provisions of this contract, and confirms that there is no legal impediment preventing them from doing so.

2- The owner acknowledges that all information and documents provided by them for the purpose of incorporation are accurate and complete, and they assume responsibility for their accuracy and for any damage arising from any violation of this.

3- The incorporation of the company is considered valid and effective upon fulfilling the prescribed substantive and formal conditions, including drafting, registering, and publishing the contract in the commercial register.

4- The nullity of one owner's position does not lead to the nullity of the company against third parties in good faith, and this will be addressed under the applicable law.
