By virtue of this contract concluded between the parties whose complete details are specified in the attached contracting form, referred to herein as “Party One” (Social Media Management Service Provider) and “Party Two” (Client / Account Holder), collectively referred to as “the Parties.” In accordance with the provisions of the Egyptian Civil Law No. 131 of 1948, the Commercial Law No. 17 of 1999, the Law on the Protection of Intellectual Property Rights No. 82 of 2002, the Personal Data Protection Law No. 151 of 2020, the Advertising Regulation Law No. 33 of 2023, the Electronic Commerce Regulation Law No. 15 of 2022, the Anti-Cyber Crime Law No. 175 of 2018, and the applicable laws and regulations in the Arab Republic of Egypt, this agreement aims to regulate the relationship of managing social media accounts between Party One (Social Media Management Service Provider) and Party Two (Client / Account Holder), whereby the service provider is committed to managing and operating the client's accounts on various social media platforms, including content creation, publishing, interaction, community management, performance analysis, and implementing growth and marketing strategies, in exchange for an agreed fee, in accordance with the highest standards of quality and professional efficiency, determining the rights and obligations of each party, mechanisms for content approval, and conditions for compensation and penalties, and protecting intellectual property, all within a framework of transparency and compliance with the laws regulating advertising and digital marketing in the Arab Republic of Egypt. The parties have agreed to the following:

1- The following terms and phrases, wherever mentioned in this contract, shall have the meanings specified adjacent to each of them, unless the context implies a different meaning:

2- The Contract: refers to this Social Media Account Management Agreement along with all its terms and annexes, and its preamble shall be considered an integral part thereof.

3- Service Provider: the first party to this contract, being the company or individual specialized in managing social media accounts and providing digital marketing services.

4- Client: the second party to this contract, being the natural or legal person who owns the social media accounts and authorizes the management thereof to the Service Provider.

5- Social Media Accounts: the official pages and accounts of the Client on social media platforms, as specified in Article (2) of this contract.

6- Content: all materials published on the social media accounts, including texts, images, videos, infographics, polls, stories, live broadcasts, and any other content.

7- Platforms: the social media platforms where the Client's accounts are managed, such as Facebook, Instagram, Twitter, LinkedIn, TikTok, Snapchat, YouTube, and others.

8- Community Management: interaction with followers and the audience, responding to comments and messages, managing inquiries and complaints, and building positive relationships with the community.
