This contract is made between the parties whose complete details are specified in the attached contracting form, referred to herein as "the first party" or "the operating company," "the second party" or "the client," and "the third party" or "the worker," collectively referred to as "the parties." Whereas the first party is a licensed operating company authorized to engage in the activity of employment recruitment and provision of workers to others, in accordance with the provisions of the Labor Law and the regulations governing it. Whereas the second party (the client) wishes to utilize the services of the workers provided by the first party to perform specific tasks, without establishing any subordinate employment relationship between it and the worker. Whereas the third party (the worker) is employed by the first party under a valid employment contract and has agreed to perform his duties for the second party (the client) in accordance with the terms agreed upon in this contract. Whereas this contract is executed as an employment contract through an operating company (employment recruitment), whereby the first party is committed to providing labor to the second party, while the contractual relationship between the first party and the third party (the worker) remains in effect, and no subordinate employment relationship arises between the second party and the third party. Whereas the parties, wishing to organize their contractual relationship and define each party's rights and obligations, have agreed to execute this contract in accordance with the following terms and conditions, under the supervision and regulation of the provisions of the Egyptian Labor Law No. 14 of 2025 and its executive regulations, the Social Insurance Law No. 148 of 2019, the Personal Data Protection Law No. 151 of 2020, the Egyptian Civil Code No. 131 of 1948, and other applicable laws and regulations in the Arab Republic of Egypt, the parties have agreed as follows:

Article (1) Contract Definitions
1- The following words and phrases - wherever they appear in this contract - shall have the meanings set forth next to each, unless the text context necessitates a different meaning:
2- Contract: This refers to this agreement in its entirety, and its preamble shall be considered an integral part of it.
3- Labor Law: This refers to Egyptian Labor Law No. 14 of 2025 and its executive regulations.
4- Operating Company: The first party to this contract, being the company licensed to engage in labor recruitment and employment services for others.
5- Client: The second party to this contract, being the entity benefiting from the services of the worker provided by the Operating Company.
6- Worker: The third party to this contract, being the worker affiliated with the Operating Company and assigned to perform his duties at the Client.
7- Employment Duration: The period during which the worker is assigned to perform his duties at the Client.
8- Operating Fee: The financial remuneration that the Client is obliged to pay to the Operating Company in return for providing and employing the worker.
9- Worker’s Wage: The financial remuneration that the Operating Company is obligated to pay to the worker for his work, in accordance with the employment contract concluded between them.
10- Place of Work: The headquarters of the Client or any other location designated by the Client for the worker to perform his duties.

Article (2) The Parties and Their Legal Capacity
1- The parties acknowledge that each of them has full legal capacity to contract, and that no judicial rulings have previously been issued against them regarding guardianship, bankruptcy, or any limitation that would prevent the conclusion of this contract.
2- The first party acknowledges that he is the legal representative of the operating company whose details are stated in the attached contracting form, and that he has full legal authority to conclude this contract and oblige the company to all of its obligations.
3- The second party acknowledges that he is the legal representative of the beneficiary entity whose details are stated in the contracting form, and that he has full legal authority to conclude this contract and oblige the entity to all of its obligations.
4- The third party acknowledges that all data and information he has provided to the first and second parties is accurate and complete, and that any breach of these acknowledgments is considered a material breach that grants the first and second parties the right to terminate the contract without notice or compensation.
5- The third party acknowledges that he is bound by a valid employment contract with the first party, and that the first party is his sole employer, and that no subordinate employment relationship arises between him and the second party.
