Article (1) Preamble and Definitions
1- This preamble and the attached annexes constitute an integral part of this agreement and supplement its provisions, and they are to be read together as a complete whole.
2- The term "this agreement" refers to this agreement and its annexes along with any written amendments made to it; and the term "the parties" refers to the parties specified in the attached contracting form, and the term "party" refers to any of them; and the term "strategic alliance" refers to the cooperation outlined in this agreement; and the term "applicable law" refers to the governing laws and regulations.
3- The titles of the articles are provided solely for the purpose of facilitating reference and shall not be considered for interpretation; in cases of ambiguity, the mutual intent of the parties and the nature of the transaction and the requirements of good faith shall be referred to.
4- The provisions of this agreement shall be interpreted in a manner that fulfills its purpose and does not conflict with the applicable law.

Article (2) Eligibility of the Parties and Their Attributes
1- Each party acknowledges that it possesses full legal capacity and authority to enter into this agreement and to fulfill its obligations arising therefrom, and that the person signing on its behalf is duly authorized with a valid authorization.
2- Each party acknowledges that its execution of this agreement and its implementation do not violate any law, license, or contractual obligation to which it is bound, and confirms the accuracy and completeness of the data and documents it has provided.
3- Each party is obliged to obtain any necessary licenses and approvals to fulfill its obligations and to maintain their validity throughout the duration of this agreement.

Article (3) Subject of the Alliance and Its Fields
1- The two parties agree to establish a strategic alliance for cooperation in the following fields:   in a manner that achieves their mutual interest.
2- The parties commit to implementing the provisions of this article in good faith and in a manner that fulfills its purpose without violating the other provisions of this agreement.

Article (4) Duration and Effectiveness of this Agreement
1- This Agreement shall come into effect from   and shall last for  .
2- This Agreement may be renewed or terminated in accordance with its provisions, and mere continuation of execution shall not constitute an automatic renewal unless stated in writing.

Article (5) Contributions of the Parties and Their Resources
1- Each party shall provide its resources, expertise, and network of relationships to the extent agreed upon to achieve the purposes of the alliance as specified in the annex.
2- The details shall be specified—where applicable—in an annex which forms an integral part of this agreement.

Article (6) Governance of the Alliance and Supervisory Committee
1- A joint supervisory committee shall be formed to follow up on the implementation of the alliance and make coordinating decisions, meeting regularly and submitting reports to both parties.
2- The two parties shall cooperate to overcome any obstacles that may hinder the implementation of this article in a manner that serves the strategic alliance.

Article (7) The Binding Nature of the Alliance Terms
1- The terms of confidentiality, exclusivity, intellectual property, and liability are binding, while future cooperation plans remain framework unless translated into independent executive agreements.
2- The parties are committed to executing the provisions of this article in good faith and in a manner that achieves its purpose without prejudice to the other provisions of this agreement.

Article (8) Exclusivity and Scope of Cooperation
1- The parties commit to the agreed limitations of exclusivity within the framework of the alliance, without preventing either of them from conducting their independent activities outside this framework.
2- The details thereof shall be specified—where applicable—in an annex that constitutes an integral part of this agreement.

Article (9) Duration, Review, and Termination
1- The alliance shall continue for the agreed duration and is subject to periodic review, and either party may terminate it in accordance with the notice and conditions outlined, while settling any existing obligations.
2- The two parties shall cooperate to overcome any obstacles that may hinder the implementation of this article in a manner that serves the strategic alliance.

Article (10) General Obligations of the Parties and Good Faith
1- The parties undertake to implement this agreement in good faith, exercising the necessary diligence and mutual cooperation to achieve the strategic alliance in the best possible manner.
2- Each party is obligated to provide the resources, information, and support it has committed to, in a timely manner and in accordance with the agreed specifications, and to notify the other party as soon as it becomes aware of any obstacle that might affect execution.
3- Each party shall refrain from any act or omission that could harm the strategic alliance or the legitimate interests of the other party or their reputations.
