This contract is made between the partners whose complete data is outlined in the attached contracting form, and after each of them has acknowledged their full legal capacity to contract and commit, and in their desire to organize their relationship on the basis of clarity and balance, they have agreed to establish a subsidiary company among themselves according to the following terms and conditions, and in compliance with the applicable law:

Article (1) Preamble and Definitions

1- The term "Company" refers to the entity established under this contract; "Partners" refers to the holders of the shares in its capital; "Partners' Assembly" refers to the body making collective decisions in the company; "Management" refers to those in charge of managing the company in accordance with this contract; and "Applicable Law" refers to the laws, regulations, and rules governing companies and the practice of the activity.

2- "Distributable Net Profits" refers to the profits remaining after deducting expenses, depreciation, provisions, and setting aside the determined reserves; and "Special Majority" refers to the stringent percentage required by this contract or the law for certain decisions.

3- The above preamble and the attached appendices constitute an integral part of this contract and complement its provisions, and shall be read together as a single comprehensive document.

4- The headings of the articles are provided for convenience of reference only and shall not be considered in the interpretation of provisions or in determining their scope, and in cases of ambiguity, the intention of the concerned parties, the nature of the activity, and the requirements of good faith shall be referred to.

Article (2) Eligibility of the Contractors and Validity of Establishment

1- The partners acknowledge that they possess full legal capacity required for contracting, establishing the company, and adhering to the provisions of this contract, and that there is no legal prohibition against such actions.

2- The partners declare that all data and documents submitted by them for the purposes of establishment are accurate and complete, and they bear responsibility for their accuracy and for any damage arising from their violation.

3- The establishment of the company shall be deemed valid and effective upon fulfilling the material and formal conditions established by law, including the drafting, registration, and publication of the contract in the commercial register.

4- The nullity of the position of one of the partners shall not render the company void against good-faith third parties, and this shall be addressed in accordance with the applicable law.

Article (3) Establishment of the Subsidiary and Its Relationship with the Parent Company

1- A subsidiary company is established, owned by a parent company that holds a percentage of its capital or voting rights that grants it control over it, and is subject to the provisions of this contract and the applicable law.

2- The subsidiary company retains its legal personality and independent financial liability, and partners shall only be liable to the extent of the shares owned by them.
